Independent payment obligations. It is hereby expressly agreed and declared by the Customer that each of its obligations to pay under any of the provisions of the Security Documents shall constitute separate and independent obligations, shall give rise to separate and independent sources of action, and shall apply irrespective of any waiver or indulgence granted by the Bank in respect of any other obligation, and shall remain in full force and effect despite any judgment, order, claim or proof for a liquidated amount in respect of some other obligation and may be relied upon and enforced by the Bank independently of or simultaneously with or without having to commence any other action under such obligations or under any of the Security Documents or without having first exhausted any remedy or without having first sold or disposed of any assets, properties or undertaking which may be provided as security to the Bank from time to time.
Independent payment obligations. The Borrower and/or the Assignor expressly agrees that each of its obligations to pay or repay under this Assignment or the Security Documents –
(a) constitute separate and independent obligations;
(b) give rise to separate and independent causes of action;
(c) apply regardless of any waiver or indulgence given by the Bank for any other obligation;
(d) remain in full force and effect regardless of any judgment, order, claim or proof for a liquidated amount in respect of any other obligation; and
(e) can be relied upon and enforced by the Bank independently or, or together with, any other action under such obligations or under the Security Documents, and the Bank does not need to first use any other remedy available to the Bank.
Independent payment obligations. Amounts payable to Seller pursuant to this Agreement are unique to this Agreement and are separate and apart from payments of any kind made or to be made to Seller (or his heirs, successors or assigns) pursuant to the Employment Agreement.

(a) constitute separate and independent obligations;
(b) give rise to separate and independent causes of action;

(d) remain in full force and effect regardless of any judgment, order, claim or proof for a liquidated amount in respect of any other obligation; and
(e) can be relied upon and enforced by the Chargee independently, or together with any other action under such obligations or under the Security Documents, and the Chargee does not need to first use any other remedy available to the Chargee.
Independent payment obligations. Your obligation to pay any amount under this Agreement is separate from each of your other obligations to pay.
Independent payment obligations. The Guarantor expressly acknowledges that each Demand made in accordance with this Clause 2 generates an independent payment obligation toward the Bank.

It is hereby expressly agreed and declared by the Chargor(s) and the Borrower(s) that each of the obligations of the Chargor(s) and the Borrower(s) to pay or to repay under any of the provisions of this Charge, or where appropriate, any of the Security Documents (if any) constitute separate and independent obligations, shall give rise to separate and independent causes of action, shall apply irrespective of any waiver or indulgence granted by MBSB in respect of any other obligation, shall remain in full force and effect despite any judgement, order, claim or proof for a liquidated amount in respect of some other obligation and may be relied upon and enforced by MBSB independently of or simultaneously with or without having to commence any other action under such obligations or under any of the Security Documents (if any) or having first exhausted any remedy or having first sold or disposed of any assets, properties or undertaking which may be provided as security to MBSB from time to time.
Independent payment obligations. It is hereby expressly agreed and declared by the Customer that each of the obligations of the Customer to pay under any of the provisions of the Transaction Documents constitutes a separate and independent obligation, shall give rise to separate and independent causes of action, shall apply irrespective of any waiver or indulgence granted by MDV in respect of any other obligation, shall remain in full force and effect despite any judgment, order, claim or proof for a liquidated amount in respect of some other obligation and may be relied upon and enforced by MDV independently of or simultaneously with or without having to commence any other action under such obligations or under any of the Transaction Documents or having first exhausted any remedy or having first sold or disposed of any assets which may be provided as security to MDV from time to time.
Independent payment obligations. TapouT will be solely responsible for all of its internal, overhead costs and expenses incurred while performing the Distribution Services, except that commissions payable to independent sales agents solely related to sales of Products shall be included as part of the costs to be deducted from Gross Revenues as described in sub-section B below. TapouT is not obligated to make any third party payments with respect to the Distribution Services nor with respect to the design, advertising, marketing or promotion of the Products that TapouT itself did not agree to pay, and it is contemplated that MPC will contract for same in its own name and make such payments directly for design, advertising, marketing and promotion of the Products. MPC, and not TapouT, will be responsible for all costs and expenses incurred before the Effective Date of this Agreement. MPC, and not TapouT, will also be responsible for all costs and expenses, incurred both before and after the Effective Date of this Agreement, related to advertising, marketing and promotion, relating to the Products.
