Informal Action by Managers. Any action required by this Agreement to be taken at a meeting of the Board of Managers, or any action which may be taken at a meeting of the Board of Managers, may be taken without a meeting if all of the Managers sign written consents that set forth the action so taken. Such consents have the same force and effect as a unanimous vote of the Managers at a meeting duly held. The Company is to file such consents with the minutes of the meetings of the Board of Managers.
Informal Action by Managers. Any action required or permitted to be taken at any meeting of the Managers may be taken without a meeting, if all of the Managers consent thereto in writing or by electronic transmission, and the writing or writings or electronic transmission or transmissions are filed with the minutes of proceedings of the Managers.

Any action required or permitted to be taken at a meeting of the Managers may be taken without a meeting if a counterpart, but not necessarily the same counterpart, of a consent in writing, setting forth the action so taken, is signed by the requisite number of the Managers entitled to vote with respect to the subject matter thereof. Such consent will have the same force and effect as a unanimous vote of the Managers, and may be stated as such in any articles or documents filed with the Secretary of State of Delaware under the Act.
Informal Action by Managers. The authority of the Board of Managers may be exercised without a meeting if a consent in writing, setting forth the action taken, is signed by the minimum number of Managers that would be required to take such action at a meeting of the Board of Managers at which all of the Managers entitled to vote were present and voted. Written notice of any action taken by consent of the Board of Managers pursuant to this Section 5.2(h) shall be given to all members of the Board of Managers who did not participate in such consent within two days following the taking of such action.

Any action required or permitted to be taken at a meeting of the Managers or any committee designated by the Managers may be taken without a meeting if the action is evidenced by one or more written consents describing the action taken, signed by each Manager or committee member, and delivered to the person having custody of the Company records for inclusion in the minutes or for filing with the records. Action taken under this section is effective when all Managers or committee members have signed the consent, unless the consent specifies a different effective date. Such consent has the same force and effect as an unanimous vote of the Managers or committee members and may be stated as such in any document.

Any action required or permitted to be taken at any meeting of the Board of Managers or any committee, if any, may be taken without a meeting if all of the Managers consent to the action in writing or by electronic transmission and the written or electronic consents are filed with the records of the meeting. Such consents shall be treated for all purposes as a vote at a meeting.
Informal Action by Managers. Any action required to be taken at a meeting of the Board of Managers, or any other action which may be taken at a meeting of the Board of Managers, may be taken without a meeting if all Managers consent to taking such action without a meeting. If all Managers consent to taking such action without a meeting, the affirmative vote of the majority of the Managers is the act of the Board. The action must be evidenced by one or more written consents describing the action taken, signed by each Manager, indicating each signing Manager's vote or abstention on the action, and shall be filed with the Company records reflecting the action taken.

Any action required or permitted to be taken at a meeting of the Board may be taken without a meeting if a consent in writing (which may be in counterparts) setting forth the action so taken shall be signed by the Managers having not less than the minimum number of votes that would be necessary to authorize or take such action at a meeting (which shall include at least one Designee of each of Drawbridge and ESMI); provided that each Manager shall have been provided with a copy of the action to be taken and the consent before the action is to be taken with a reasonable opportunity to sign it.

Any action required to be taken by the Managers pursuant to this Agreement or pursuant to the Certificate of Formation of the Company or which may be taken at a meeting of Managers may be taken without a meeting if a consent in writing, setting forth the action so taken, is signed by a majority of the then serving Managers entitled to vote with respect to such consent, unless otherwise provided by applicable statute, this Agreement, or the Certificate of Formation of the Company.
