Information Access and Audit Rights. 25.1 Information Access. Each Party (“Disclosing Party”) shall make available to another Party (“Requesting Party”) information that is in the possession of the Disclosing Party and is necessary in order for the Requesting Party to: (i) verify the costs incurred by the Disclosing Party for which the Requesting Party is responsible under this Agreement; and (ii) carry out its obligations and responsibilities under this Agreement. The Parties shall not use such information for purposes other than those set forth in this Article 25.1 of this Agreement and to enforce their rights under this Agreement.

Information Access and Audit Rights. The Members and their respective agents will have the right, at their sole risk and expense and upon reasonable prior notice to the Managing Member, to (i) inspect the Facilities and all relevant books and records relating thereto and make copies thereof, and (ii) audit the Company’s and/or the Project Company’s books and records. Any such inspection will be conducted during normal business hours and so as not to unreasonably interfere with the business of the Managing Member, provided that Company shall provide reasonable access to their or, if applicable, the Project Company’s employees, managers officers, and agents for the purposes of answering reasonable inquiries or providing reasonably required information. The foregoing rights may be exercised through any agent or employee of such Member designated in writing by it or by an independent public accountant, engineer, attorney or other consultant so designated.
Information Access and Audit Rights. 32.1 Information Access, Each Party (the “disclosing Party”) shall make available to the other Parties information that is in the possession of the disclosing Party and is necessary in order for the other Parties to: (i) verify the costs incurred by the disclosing Party for which the other Parties are responsible under this IA; and (ii) carry out its obligations and responsibilities under this IA. The Parties shall not use such information for puiposes other than those set forth in this Article 32.1 and to enforce their rights under this IA.
