Information Defined. Each party acknowledges that, in the course of its performance under the Agreement, it will receive certain private and proprietary information from or about the other party or its affiliates, including but not limited to the terms of the Agreement to which this Nondisclosure Agreement is attached, technical, financial or business information and models, names of customers or partners, proposed business deals, reports, plans, market projections, software programs, data or any other private and proprietary information relating to the Agreement which may include certain trade secrets ("Information"). The term "Information" as used herein also includes: (i) the fact that the Information has been made available to or is being inspected or evaluated by such party; and (ii) any information, work papers, analyses, compilations, projections, studies, documents, terms, conditions, correspondence, facts or other materials derived or produced by such party or its representatives for the other party in connection with the Agreement. Any Information supplied by a party to the other party prior to the execution of this Agreement shall be subject to the same treatment as the Information made available after the execution of this Agreement.

Information Defined. During the term of this Agreement and in the course of Consultant’s performance hereunder, Consultant may receive and otherwise be exposed to confidential and proprietary information of Company relating to Company’s business practices, finances and expenses, customer lists, strategies, designs, technologies and inventions. Such information may include, but is not limited to, documents, prototypes, compounds, samples, formulations, technical data, trade secrets, know-how, research, devices, components, materials, product or business plans, services, customer and collaborator lists, market analyses, software, assays, discoveries, inventions, ideas, techniques, processes, designs, drawings, marketing plans, financial analyses or equipment. Any of this information, in whatever form and whether or not marked as confidential or proprietary, and all derivatives, improvements and enhancements to any of the above, whether provided to Consultant, or created or developed by Consultant under this Agreement, as well as information of third parties as to which Company has an obligation of confidentiality shall all be treated as the confidential and proprietary information of Company (all of the above collectively referred to as “Information”). Notwithstanding anything to the contrary herein, Consultant and Company acknowledge and agree that any information that Consultant can demonstrate by written documentation to have become publicly known without fault on the part of Consultant shall not be deemed to be “Information” hereunder. Information received by Consultant in her previous capacity as the Company’s Chief Medical Officer remains subject to that certain At Will Employment, Confidential Information, Invention Assignment and Arbitration Agreement dated May 12, 2020 (as subsequently amended).

Information Defined. As used in this Agreement, the term “Information” includes any and all oral or written information and trade secrets which are known or used by the Employer in connection with its business including, but not limited to, a. algorithms, formulae, flow charts, sketches, schematics, drawings, models, plans, specifications, computer programs, source codes, documentation, employed in the various computer software programs which are owned, licensed or distributed by the Employer; b. any plan, model or study belonging to or used by the Employer; c. all inventions, designs, ideas, programs, works, creations, compilations of information and analyses belonging to or used by the Employer; d. manuals, training programs and other documents and procedures developed or employed by the Employer; e. information which is provided to the Employer by third parties on the understanding that such information shall be kept in confidence; and f. customer and supplier lists, prospective customers, business plans, marketing strategies and ideas concerning future products.
Information Defined. For purposes of this Agreement, “information” means materials, data, or information in any form, whether written, oral, digital, or otherwise, provided by or obtained from First Wind, its agents or its contractors in connection with First Wind’s business or anticipated business. Technical or business information of a third person furnished or disclosed to me under this Agreement shall constitute information of First Wind unless otherwise specifically indicated in writing.
