Information Documents. The information contained in the Information Documents is true and accurate in all material respects and does not contain any untrue statement of a material fact. The Information Documents do not omit to state any fact necessary in order to make any of the information contained in the Information Documents not misleading in all material respects;
Information Documents. 15.1 As promptly as practicable after the date hereof, AF shall prepare, with the co-operation of KL, documentation and required tender offer and listing prospectuses and recommendation statements in the English and French languages and with a Dutch summary as applicable, that will constitute the basis for (i) the Exchange Offer, (ii) the listing of the AF Shares, AF ADSs, AF Warrants and the AF ADSs and AF Shares to be delivered on exercise of the AF Warrants to be issued pursuant to the Exchange Offer on Euronext Paris, on Euronext Amsterdam and on the NYSE, as applicable, and (iii) all required documentation for the AF Meeting and the KL Meeting (collectively the “Information Documents”). AF or KL, as the case may be, shall each transmit such information concerning it as the other Party may reasonably request in connection with such actions and the preparation of the Information Documents. On the Commencement Date, the appropriate Information Documents will be mailed or otherwise made available to the AF Shareholders and/or the KL Shareholders, as the case may be. AF and KL shall cause the Information Documents to comply as to form and substance in all material respects with the Legal Requirements.
15.2 The Information Documents shall include the unconditional recommendation of the AF Board that the AF Shareholders vote as anticipated in Clause 17, provided, however, that the AF Board may, at any time prior to the Closing Date, amend, modify, withdraw, condition or qualify any such recommendation and may take any action or make any statement inconsistent with such recommendation if the AF Board determines in its good faith judgment, after taking advice from independent legal counsel and after consultation with KL, that failure to so amend, modify, withdraw, condition or qualify its recommendation or to take such action or make such statement would cause the AF Board to breach its fiduciary duties to AF or AF Shareholders under Legal Requirements.
15.3 The Information Documents shall include the unanimous, unqualified and unconditional recommendation of the KL MB and the KL Supervisory Board that the KL Common Shareholders and the KL NYRS Holders accept the Exchange Offer, provided however, that the KL MB and the KL Supervisory Board may, at any time prior to the Closing Date, amend, modify, withdraw, condition or qualify any such recommendation and may take any action or make any statement inconsistent with such recommendation if the KL MB and the KL Su...
Information Documents. Information Documents are provided to the Consultant for information only and the Consultant acknowledges that it has: not relied on the contents of any Information Documents; and made its own enquiries and formed its own view on the issues covered in the Information Documents. Neither the City nor the City's Representative is responsible for the accuracy or the contents of, or makes any representation or assumes any duty of care in respect of, the Information Documents.
Information Documents. Information and documents exchanged between the Parties shall not be disclosed to third parties unless otherwise agreed in writing by the Party providing the said information or document.
Information Documents. It is your responsibility to provide all necessary information and documents related to income and deductions for the applicable tax year, and to respond to our inquiries in a timely manner so we are able to accurately complete your returns by the appropriate due dates. We will prepare tax returns based upon the information received, assuming the best and assuming no intentional fraud or evasion. You assume all the risk of any inaccurate, or false, information provided for tax preparation. If we identify errors in taxpayer records or accounting, we will call those to your attention and may not prepare the return until the error or accounting matter is fixed.
Information Documents. The information contained in the Information Documents, including, without limitation, the description of the capital structure of the Borrower and the Cybernet Companies as at the Closing Date, is true and accurate in all material respects and does not contain any untrue statement of a material fact. The Information Documents do not omit to state any fact necessary in order to make any of the information contained in the Information Documents not misleading in all material respects;
Information Documents. (a) Information Document means any information, data, document or material (in any format or medium including any electronic form and whether oral or written) which is:
(i) referred to in Exhibit G of the Main Contract;
(ii) issued or made available by, or on behalf of, the Principal, the NSW Government, the Main Contractor or HLL to the Supplier in connection with the Supply or any works under the Main Contract (including anything issued or made available through the Principal’s website), regardless of whether it was expressly classified or stated to be an “Information Document”; or
(iii) referred to, or incorporated by reference, in an Information Document unless such information, data, document or material is otherwise expressly stated to form part of this Contract,
(b) Without limiting or otherwise affecting clause 23.3(a):
(i) HLL, the Main Contractor and the Principal do not warrant, guarantee or assume any duty of care or other responsibility for or makes any representation about the accuracy, adequacy, suitability, currency, fitness for purpose, reasonableness, reliability or completeness of the Information Documents;
(ii) whether or not an Information Document or any part thereof forms an annexure (or schedule, appendix, exhibit or other attachment) to this Subcontract, the Supplier acknowledges that:
(A) the Information Document or part thereof does not form part of this Subcontract; and
(B) where an Information Document or any part thereof forms an annexure (or schedule, appendix, exhibit or other attachment) to this Subcontract, it does so only for the purposes of identification of that document or part thereof;
(iii) insofar as is permitted by law, HLL, the Main Contractor and the Principal will not be liable upon any Claim by the Supplier or any Secondary Subcontractor arising out of or in any way in connection with:
(A) the provision of, or the purported reliance upon, or use of the Information Documents to or by the Supplier, Secondary Subcontractors or any other person to whom the Information Documents are disclosed; or
(B) a failure by HLL to provide any information to the Supplier .
Information Documents. Where a document (or part thereof) is designated as an “information document” or “for information only”, the Principal does not warrant, guarantee, assume any duty of care or other responsibility for or make any representation about the accuracy, adequacy, suitability or completeness of such documents and the Contractor acknowledges that it has taken this into account. The Principal may have carried out investigations for the primary purposes of project planning, estimating, feasibility studies and obtaining statutory approvals. Any such investigation or resulting documentation: has not been undertaken for the purpose of determining methods of providing the Works; is deemed to be an "information document" in accordance with this clause 30(h); The Contractor warrants that it has not relied on any such interpretations, opinions or documentation. The use of any such information, opinions and documents is entirely at the Contractor's risk.
Information Documents. (i) all information provided by the Principal Borrower or its advisers (as updated, if applicable, prior to the date hereof), in the Information Documents:-
(a) is true and accurate in all material respects insofar as it relates to factual information concerning the Principal Borrower;
(b) insofar as it relates to factual information concerning the Target Group, is information which the Principal Borrower has no reason to believe provides a view or assessment of the Target Group which is materially inaccurate or misleading in the context of the Target Group taken as a whole; and
(c) in respect of the projections and assumptions of the Target Group fairly represents (consistently with the assumptions stated therein) the views and expectations of the Principal Borrower formed in good faith (after such proper investigation and consideration as was practicable in the circumstances) in as far as they consist of statements of opinion and financial projections relating to the Target Group after the Relevant Date;
(ii) so far as the Principal Borrower is aware there is nothing contained in any of the Information Documents which would materially prevent, inhibit, restrict or delay any Group Company from putting into effect or pursuing any of the proposals or plans contained in the Financial Model in any material respect or from carrying on business in a materially different manner to that contemplated in those documents;
(iii) there is nothing contained in any of the Information Documents which is reasonably likely to cause the Financial Model to be materially inaccurate in any material respect or the assumptions on which they have been based to be other than fair and reasonable;
