Initial Limited Partner. The Initial Agreement allowed the Initial Limited Partner to redeem his Unit of Limited Partnership Interest for $1,000 and withdraw from the Partnership.
Initial Limited Partner. The Initial Limited Partner was Knight Capital Markets, LLC formerly, Xxxxxxx Capital Markets (“Initial Limited Partner”) located at 00 Xxxxxxxx Xxx Xxxx, XX 00000.
Initial Limited Partner. As of the day after trading commences, the Initial Limited Partner may redeem his Unit for $1,000 and withdraw from the Partnership.
Initial Limited Partner. The execution of this Agreement by the Initial Limited Partner constitutes its withdrawal as a limited partner of the Partnership with the consent of the General Partners as of the Effective Time. Because of such withdrawal, the Initial Limited Partner has no further right, interest or obligation of any kind whatsoever as a limited partner of the Partnership, effective immediately after the Effective Time. Any capital contribution of the Initial Limited Partner will be returned to it at the Effective Time.
Initial Limited Partner. Upon the admission of additional Limited Partners, the Limited Partner interest of the Initial Limited Partner shall be repurchased in full, and it is recognized and acknowledged that the capital of $200 contributed by the Initial Limited Partner will be returned at that time.
Initial Limited Partner. (a) The Initial Limited Partner has subscribed for one Unit in consideration for the contribution of the sum of $100.00 to the capital of the Partnership.
Initial Limited Partner. Immediately following the execution of this Agreement, 237/1290 Upper Tier GP Corp., the initial limited partner, shall withdraw as a limited partner and its Capital Contribution of $100.00 shall be returned by the Partnership.
Initial Limited Partner. In order to create the Partnership under the Delaware Act, the Managing General Partner has heretofore accepted a capital contribution in the amount of $1,000 from the Initial Limited Partner for an interest as a Limited Partner. As of the Closing Date, the interest so acquired by the Initial Limited Partner in its capacity as such shall be terminated and the amount contributed by it to the Partnership shall be refunded. Any interest or other profit which may have resulted from the investment or other use of such amount paid by the Initial Limited Partner to the Partnership shall be distributed one percent to the General Partners in accordance with their relative percentage interests and ninety-nine percent to the Initial Limited Partner. The interest acquired by the Initial Limited Partner pursuant to this Section 2.7 is not transferable except by operation of law.
Initial Limited Partner. The Initial Limited Partner shall contribute one hundred dollars ($100) in cash to the Partnership and agrees that his interest shall automatically be redeemed for one hundred dollars ($100) upon the admission of any Additional Limited Partners to the Partnership.
Initial Limited Partner. The business address of the Initial Limited Partner is 0000 Xxxxxxx Xxxxxx, Xxxxx 000, Xxxxx Xxxx, Xxxxxxxxxx 00000. The Initial Limited Partner has made a Capital Contribution to the Partnership of $1,000. The Initial Limited Partner, as such, shall not be required to make any additional Capital Contribution to the Partnership.
