Injunction; Illegality. No preliminary or permanent injunction, or other order decreed by any federal or state court, which prevents the consummation of this Agreement shall have been issued and remain in effect (each party agrees to use its reasonable efforts to have any such injunction, order or decree lifted). No governmental authority shall have enacted any statute, rule or regulation that would prevent consummation of this Agreement or make the Share Exchange illegal.

This Agreement may be terminated at any time prior to the Exchange Closing by Company if (a) an order, injunction or decree shall have been issued by any court or agency of competent jurisdiction and shall be nonappealable, or other law shall have been issued preventing or making illegal the completion of the Exchange or the other transactions contemplated by this Agreement, or (b) in the sole judgment of the Company, it is no longer in the best interests of the Company and its shareholders to complete the Exchange.

This Agreement may be terminated at any time prior to the completion of executing this Agreement by LEOM if (a) an order, injunction or decree shall have been issued by any court or agency of competent jurisdiction and shall be non-appealable, or other law shall have been issued preventing or making illegal either (i) the completion of the obligations pursuant to this, or (ii) LEOM's unrestricted and unlimited right to vote its shares.
Injunction; Illegality. No temporary restraining Order, preliminary or permanent injunction or other Order shall be in effect, in each case relating to or arising out of matters other than the Required Regulatory Approvals and only from or in respect of a Material Jurisdiction, and no law shall have been enacted by or in respect of a Material Jurisdiction, in either case enjoining, prohibiting or otherwise preventing the consummation of the transactions contemplated by this Agreement and the Ancillary Agreements, provided that the Vendor and the Purchaser will each use all reasonable efforts required to discharge or otherwise resolve any of the foregoing that result in the condition in this Section 6.3(3) not being satisfied, including taking, or causing to be taken, all reasonable actions and doing, or causing to be done, all reasonable things necessary, proper or advisable under Applicable Law to discharge or resolve the foregoing; provided further that Vendor may not cause any of the Corporations to assume any material obligations or liabilities that would survive the Closing in connection therewith unless Vendor agrees to fully indemnify such Corporations for such liabilities or obligations.

This Agreement may be terminated at any time prior to the Share Exchange Closing by PHEO if an order, injunction or decree shall have been issued by any court or agency of competent jurisdiction and shall be non-appealable, or other law shall have been issued preventing or making illegal either (i) the completion of the Exchange or the other transactions contemplated by this Agreement, or (ii) PHEO’s unrestricted and unlimited right to vote the Shares.

This Agreement may be terminated at any time prior to the Share Exchange Closing by Parent (a) if an order, injunction or decree shall have been issued by any court or agency of competent jurisdiction and shall be nonappealable, or other law shall have been issued preventing or making illegal either (i) the completion of the Exchange or the other transactions contemplated by this Agreement, or (ii) Parent’s unrestricted and unlimited right to vote the Shares or (b) the Merger Agreement terminates pursuant to its terms. Termination of this Agreement in and of itself shall in no way affect the Amended and Restated Guaranty or the Fed Guaranty.
