Insider Letter Clause Samples
The Insider Letter clause requires certain individuals, typically company insiders such as executives, directors, or significant shareholders, to sign a formal agreement outlining their obligations regarding confidential information and trading restrictions. This clause often applies in the context of public offerings or mergers, where insiders must agree not to disclose sensitive information or trade company securities based on non-public knowledge. Its core function is to ensure compliance with securities laws and maintain market integrity by preventing insider trading and unauthorized disclosures.
