Instrument Requirements Sample Clauses

The Instrument Requirements clause defines the specific standards and conditions that any instruments, such as documents, certificates, or equipment, must meet under the agreement. It typically outlines the necessary specifications, formats, or approvals required for these instruments to be considered valid and acceptable. For example, it may require that all certificates be issued by a recognized authority or that documents be provided in a particular format. The core function of this clause is to ensure that all parties provide and rely on instruments that are consistent, reliable, and meet agreed-upon criteria, thereby reducing the risk of disputes or misunderstandings regarding the validity of such instruments.
Instrument Requirements. The Instrument requirements, including without limitation the specifications, are set forth in the Product Requirements Document. Gen-Probe shall have the sole right to amend the PRD, in its sole discretion, during the term of this Agreement. While KMC shall make recommendations throughout this project with regard to the PRD, the final approval thereof shall be Gen-Probe's; provided, however, that such right of approval shall not relieve KMC of its duty to perform its services hereunder in a workmanlike manner.
