Integrity Agreement. Both parties shall strictly abide by the principles of integrity and fairness, truly protect each other’s common interests, and resolutely prevent Party B from seeking benefits from Party A in the process of signing or performing the contract, as well as any rebates, Gifts, gifts, shopping cards (coupons), securities and other property or other benefits, as well as banquets, welcomes, or offers of travel, entertainment, fitness, medical treatment that may affect Party B’s fair choice, damage the interests or image of Party B’s company , gambling, pornography and other services. If there is any violation, Party A and the participants of Party B are willing to bear the compensatory liability for the losses caused thereby.

Integrity Agreement. Party B agrees not to treat the relevant staff of Party A (except for working meals within 50 yuan), send presents or secretly give rebates, commissions, securities, physical objects or other forms of benefits. Otherwise, Party B shall pay Party A liquidated damages in accordance with the 30% of total amount of the contract. Party A has the right to terminate the contract. Party B agrees and promises that the shareholders and key management personnel of the Company have no kinship or other special relationship with the business executives of the relevant units of Party A. Otherwise, Party B shall pay Party A a penalty of RMB 50,000/time. This clause is binding on both parties and will not be invalid due to contract performance. If Party B provides Party A with all the actual breach of contract facts and relevant evidentiary materials under the condition that Party B actively provides or in the circumstances proposed by Party A, Party A may reduce or exempt Party B's liability for breach of contract.

Integrity Agreement. 1) The buyer’s personnel shall not, for any reason, ask the seller for any benefits such as goods and cash. If the seller fails to report and cooperate with the buyer in soliciting bribes, the buyer shall have the right to terminate the contract and to stop all payment.
2) The seller shall not bribe all the buyer’s personnel in any form. Upon verification, the buyer has the right to terminate the contract and stop all payment of the goods. If the circumstances are serious, the Buyer will investigate and affix legal liability.
