Intellectual Property Ownership; Feedback. (a) Provider IP. Customer acknowledges that, as between Customer and Provider, Provider owns all right, title, and interest, including all intellectual property rights, in and to the Provider IP and, with respect to Third-Party Products, the applicable third-party providers own all right, title, and interest, including all intellectual property rights, in and to the Third-Party Products.
Intellectual Property Ownership; Feedback. (a) Licensee acknowledges that, as between Licensee and Licensor, Licensor owns all right, title, and interest, including all intellectual property rights, in and to the Software and Documentation.

As between you and us, (a) we own all right, title, and interest, including all intellectual property rights, in and to the Cloud Services and (b) you own all right, title, and interest, including all intellectual property rights, in and to Customer Data. If you or any of your employees, contractors, or agents sends or transmits any communications or materials to us by mail, email, telephone, or otherwise, suggesting or recommending changes to the Cloud Services, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), we are free to use such Feedback irrespective of any other obligation or limitation between you and us governing such Feedback. All Feedback is and will be treated as non-confidential. You hereby assign to us on your behalf, and shall cause your employees, contractors, and agents to assign, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.

As between you and us, (a) we own all right, title, and interest, including all intellectual property rights, in and to the Product and (b) Customer own all right, title, and interest, including all intellectual property rights, in and to Customer Data. Intellectual Property Ownership; Feedback a. AppGate Intellectual Property. Customer acknowledges that, as between Customer and AppGate, AppGate owns all right, title and interest, including all intellectual property rights, in and to AppGate Intellectual Property.
Intellectual Property Ownership; Feedback. (a) Customer acknowledges and agrees that: (i) the Software and Documentation are licensed, not sold, to Customer by Company and Customer does not and will not have or acquire under or in connection with this Agreement any ownership interest in the Software or Documentation, or in any related Intellectual Property Rights; (ii) Company (or the respective rights holder in any Third-Party Products) is and will remain the sole and exclusive owner of all right, title and interest in and to the Software and Documentation, including all Intellectual Property Rights relating thereto, subject only to the limited licenses granted to Customer under this Agreement; and (iii) subject to Section 3(e)(ii)(B). above, Customer hereby unconditionally and irrevocably assigns to Company its entire right, title and interest in and to any Intellectual Property Rights that Customer may now or hereafter have in or relating to the Software or Documentation (including any rights in derivative works, enhancements or improvements relating to either of them), whether held or acquired by operation of law, contract, assignment or otherwise.

Customer acknowledges that, as between Customer and GNOSIS, GNOSIS owns all right, title, and interest, including all intellectual property rights, in and to the GNOSIS IP (including all Feedback, updates, customizations, and/or modifications thereto).
(b) Customer Data. XXXXXX acknowledges that, as between GNOSIS and Customer, Customer owns all right, title, and interest, including all intellectual property rights, in and to the Customer Data. Customer hereby grants to GNOSIS a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Customer Data and perform all acts with respect to the Customer Data as may be necessary for GNOSIS to provide the Services to Customer, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Customer Data incorporated within the Aggregated Statistics.
Intellectual Property Ownership; Feedback. 4.1 Customer acknowledges that, as between Customer and SparkCognition, SparkCognition owns all right, title, and interest, including all intellectual property rights, in and to the SC Software, SC SaaS Services and Documentation.
4.2 SparkCognition will have the unrestricted right to use or act upon any suggestions, ideas, enhancement requests, feedback or recommendations ("Feedback") provided by Customer relating to the SC Software, SC SaaS Services and Documentation.

As between you and us, (a) we own all right, title, and interest, including all intellectual property rights, in and to the Service and the Licensed Software; and (b) you own all right, title, and interest, including all intellectual property rights, in and to Customer Data. Customer acknowledges that, as between Customer and GNOSIS, GNOSIS owns all right, title, and interest, including all intellectual property rights, in and to the GNOSIS IP (including all Feedback, updates, customizations, and/or modifications thereto). Customer must use commercially reasonable efforts to safeguard GNOSIS IP (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorized access. Customer must promptly notify GNOSIS in writing if Customer becomes aware of any infringement of any intellectual property rights in any of GNOSIS IP and will fully cooperate with GNOSIS in any legal action taken by GNOSIS to enforce the intellectual property rights.
(b) Customer Data. XXXXXX acknowledges that, as between GNOSIS and Customer, Customer owns all right, title, and interest, including all intellectual property rights, in and to the Customer Data. Customer hereby grants to GNOSIS a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Customer Data and perform all acts with respect to the Customer Data as may be necessary for GNOSIS to provide the Services to Customer, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Customer Data incorporated within the Aggregated Statistics.
