Internalization of the Advisor. In the event that the Board of Directors determines to internalize any management functions provided by the Advisor, neither the Company nor the Partnership shall pay any compensation or other remuneration to the Advisor or any Affiliate of the Advisor in connection with the internalization transaction. The provisions of this Section 11 are not intended to limit any other compensation or distributions the Company or Partnership may pay the Advisor in accordance with this Agreement or any other agreement, including but not limited to the Agreement of Limited Partnership of Xxxxx & Xxxxx Healthcare REIT II Holdings, LP.
