Common use of International Business Clause in Contracts

International Business. ‌ Subject to the Contract, you may conduct business activity as a Brand Affiliate in any Authorized Market. If the market is an Unopened Market, then you are limited to providing business cards and conducting, organizing or participating in meetings where the number of attendees at any given meeting, including you, does not exceed five. You may not use flyers, cold calling, mass emailing, advertising or mass soliciting of any kind in order to promote attendance at these meetings. In Unopened Markets you may not: (a) Import or facilitate the importation of, sell, gift, or distribute in any manner, Company Products or Product samples; (b) Place any type of advertisement or distribute any promotional materials regarding the Company, its Products or the opportunity, except for any Company Approved Business Support Materials that the Company may have specifically authorized for distribution in a designated Unopened Market; (c) Solicit or negotiate any agreement for the purpose of committing a citizen or resident of an Unopened Market to the opportunity, a specific Sponsor or specific line of sponsorship. Furthermore, Brand Affiliates may not sign up citizens or residents of Unopened Markets in an Authorized Market or by using Brand Affiliate Agreement forms from an Authorized Market, unless the citizen or resident of the Unopened Market has, at the time of sign up, permanent residence and the legal authorization to work in the Authorized Market. It is the Sponsor’s responsibility to ensure compliance with residency and work authorization requirements. Membership or participation in, or ownership of a corporation, partnership or other legal entity in an Authorized Market does not by itself fulfill the residency or legal authorization to work requirements. If a Participant in a Brand Affiliate Account fails to provide verification of residency and work authorization when requested by the Company, the Company may, at its election, declare a Brand Affiliate Agreement void from its inception; (d) Accept money or other consideration, or be involved in any financial transaction with any prospective Brand Affiliate either personally or through an agent, for purposes relating to the Company’s Products or the opportunity, including renting, leasing or purchasing facilities for the purpose of promoting or conducting Company-related business, or (e) Promote, facilitate or conduct any type of activity which exceeds the limitations set forth in these Policies and Procedures or which the Company, in its sole discretion, deems to be contradictory to the Company’s business or ethical interests in international expansion.

Prohibited Distributor conduct, prior to the Company’s official opening of a market includes but is not limited to: (a1) Import importing or facilitate facilitating the importation of, sellselling, giftgifting, or distribute distributing in any manner, Company Products products, services, or Product samplesproduct samples except as authorized by the company in accordance with local laws or customary practices; (b2) Place placing any type of advertisement or distribute distributing any promotional materials regarding the Company, its Products products or the opportunity, except for any the Company Approved Business Support Materials that the Company may have Sales Aids (See Section 1 and 21) specifically authorized for distribution in a unopened countries as designated Unopened Marketby the Company; (c3) Solicit soliciting or negotiate negotiating any agreement for the purpose of committing a citizen or resident of an Unopened Market unopened country to the opportunity, a specific Sponsor or specific line of sponsorship. Furthermore, Brand Affiliates Distributors may not sign up citizens or residents of Unopened Markets unopened countries in an Authorized Market Country or by using Brand Affiliate Distributor Agreement forms from an Authorized MarketCountry, unless the citizen or resident of the Unopened Market unopened country has, at the time of sign up, permanent residence and the legal authorization to work in the Authorized MarketCountry. It is the Sponsorsponsoring Distributor’s responsibility to ensure compliance with residency and work authorization requirements. Membership or participation in, or ownership of a corporation, partnership or other legal entity in an Authorized Market Country does not by itself fulfill the residency or legal authorization to work requirements. If a Participant in participant to a Brand Affiliate Account Distributorship fails to provide verification of residency and work authorization when requested by the Company, the Company may, at its election, declare a Brand Affiliate Distributor Agreement void from its inception; (d4) Accept accepting money or other consideration, or be being involved in any financial transaction with any prospective Brand Affiliate potential Distributor either personally or through an agent, for purposes relating to the Company’s Products Company products or the opportunity, including renting, leasing or purchasing facilities for the purpose of promoting or conducting Company-Company related business; 5) conducting, organizing, or participating in meetings in an Authorized Country with citizens or residents from an unopened country where any activities prohibited by Section 33 take place. In conducting meetings in an Authorized Country with citizens or residents from an unopened country, the same guidelines must be followed as if the meeting were being held in an unopened country except for the limitation on the number of participants; or (e6) Promotepromoting, facilitate facilitating or conduct conducting any type of activity which exceeds the limitations set forth in these Policies and Procedures or which the Company, in its sole discretion, deems to be contradictory to the Company’s business or ethical interests in international expansion.

If a Participant in a Brand an Affiliate Account Business fails to provide verification of residency and work authorization when requested by the Company, the Company may, at its election, declare a Brand an Affiliate Agreement void from its inception; (dc) Accept money or other consideration, or be involved in any financial transaction with any prospective Brand Affiliate either personally or through an agent, for purposes relating to the Company’s Products or the opportunity, including renting, leasing or purchasing facilities for the purpose of promoting or conducting Company-related business, ; or (ed) Promote, facilitate or conduct any type of activity which exceeds the limitations set forth in these Policies and Procedures this Agreement or which the Company, in its sole discretion, deems to be contradictory to the Company’s business or ethical interests in international expansion.
