Interpretation Venue. This Agreement shall be interpreted as a whole unit, and section headings are for convenience only. All interpretations shall be governed by the laws of the State of Florida. B. This Agreement shall be governed by the laws of the State of California without regard to the choice of law or conflicts.
C. This Agreement is made in Siskiyou County, California. The venue for any legal action in state court filed by either party to this Agreement for the purpose of interpreting or enforcing any provision of this Agreement shall be in the Superior Court of California, County of Siskiyou. Interpretation Venue. Prior to the execution of this Agreement, each of the Parties has had an opportunity to review the provisions of this Agreement, and contribute to the content hereof, and have consulted with legal counsel of that Party’s own choosing or have chosen not to do so of that Party’s own volition. The provisions of this Agreement shall be interpreted to give effect to their fair meaning and shall be construed as though prepared by Borrower and Lender, respectively. Interpretation Venue. The validity, interpretation, construction, and performance of the Agreement including without limitation this Exhibit B shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles, and any litigation in connection therewith shall be venued solely and exclusively within the courts of the Commonwealth of Virginia. Interpretation Venue. This Agreement shall be interpreted and enforced in accordance with the laws of the State of Delaware, without reference to its choice of law provisions. The parties agree that any legal action or proceedings brought by or against them with respect to this Agreement shall be brought in the state or federal courts located in Delaware, USA and, by execution and delivery hereof, the parties hereby irrevocably submit to each such jurisdiction and hereby irrevocably waive any and all objections which they may have with respect to venue in any of the above courts.

(ii) This Agreement is made in Napa County, California. The validity, performance and enforcement of this Agreement shall be construed in accordance with the laws of the State of California. Venue for any action arising out of or relating to this Agreement shall be in the state court of proper jurisdiction for the County of Napa, or if within the jurisdiction of the federal courts, Northern District of California. The appropriate venue for mediation, arbitration or similar legal proceedings under this Agreement shall be Napa County, California.

Each party has had ample opportunity to seek the advice of legal counsel prior to entering this Contract, which shall not be construed against the party responsible for drafting the instrument.
