Investment Analysis and Implementation. In carrying out its obligations under Section 1 hereof, the Advisor shall:
(a) supervise all aspects of the operations of the Funds;
(b) obtain and evaluate pertinent information about significant developments and economic, statistical and financial data, domestic, foreign or otherwise, whether affecting the economy generally or the Funds, and whether concerning the individual issuers whose securities are included in the assets of the Funds or the activities in which such issuers engage, or with respect to securities which the Advisor considers desirable for inclusion in the Funds' assets;
(c) determine which issuers and securities shall be represented in the Funds' investment portfolios and regularly report thereon to the Board of Trustees;
(d) formulate and implement continuing programs for the purchases and sales of the securities of such issuers and regularly report thereon to the Board of Trustees; and
(e) take, on behalf of the Trust and the Funds, all actions which appear to the Trust and the Funds necessary to carry into effect such purchase and sale programs and supervisory functions as aforesaid, including but not limited to the placing of orders for the purchase and sale of securities for the Funds.
Investment Analysis and Implementation. In carrying out its obligations under paragraph 1 hereof, the Adviser shall:
(a) obtain and evaluate pertinent information about significant developments and economic, statistical and financial data, domestic, foreign or otherwise, whether affecting the economy generally or the Funds specifically, and whether concerning the individual issuers whose securities are included in the Funds or the activities in which such issuers engage, or with respect to securities which the Adviser considers desirable for inclusion in the Funds;
(b) invest and reinvest, on an ongoing basis, assets held in the Funds in strict accordance with the investment policies of the Funds as set forth in the registration statement of the Company with respect to the Funds, as the same may be amended from time to time;
(c) in accordance with policies and procedures established by the Company's Board of Directors, select brokers and dealers to execute portfolio transactions for the Funds and select the markets on or in which the transactions will be executed;
(d) vote, either in person or by general or limited proxy, or refrain from voting, any securities held in the Funds for any purposes; exercise or sell any subscription or conversion rights; consent to and join in or oppose any voting trusts, reorganizations, consolidations, mergers, foreclosures and liquidations and in connection therewith, deposit securities, and accept and hold other property received therefor;
(e) determine on an ongoing basis the overall investment strategy with respect to the Funds, and ensure on an ongoing basis adherence to such strategy;
(f) use the same skill and care in providing services to the Funds as it uses in providing services to fiduciary accounts for which it has investment responsibilities;
(g) furnish the Company's Board of Directors with such periodic and special reports as the Board of Directors may request; and
(h) take, on behalf of the Funds, all actions which appear necessary to carry into effect such purchase and sale programs and supervisory functions set forth in this Paragraph 2.

(a) obtain and evaluate pertinent information about significant developments and economic, statistical and financial data, domestic, foreign or otherwise, whether affecting the economy generally or the MMMF's portfolio and whether concerning the individual issuers whose securities are included in the MMMF's portfolio or the activities in which the issuers engage, or with respect to securities which the Manager considers desirable for inclusion in the MMMF's portfolio:
(b) determine which issuers and securities shall be represented in the MMMF's portfolio and regularly report thereon to the Fund's Board of Directors;
(c) formulate and implement continuing programs for the purchases and sales of the securities of such issuers and regularly report thereon to the Fund's Board of Directors; and
(d) take, on behalf of the MMMF, all actions which appear to the Fund necessary to carry into effect such purchase and sale programs and supervisory functions as aforesaid, including the placing of orders for the purchase and sale of securities for the MMMF.

(c) formulate and implement continuing programs for the purchases and sales of the securities of such issuers, and regularly report thereon to the Company's Board of Directors; and
(d) order or direct the execution of securities transactions on behalf of the Fund, select broker-dealers and negotiate brokerage commission rates. and take, on behalf of the Company and the Fund, all actions which appear to the Company and the Fund necessary to carry into effect such purchase and sale programs as aforesaid.

In carrying out its obligations under Section 1 hereof, the Advisor shall: supervise all aspects of the operations of the Funds; obtain and evaluate pertinent information about significant developments and economic, statistical and financial data, domestic, foreign or otherwise, whether affecting the economy generally or the Funds, and whether concerning the individual issuers whose securities are included in the assets of the Funds or the activities in which such issuers engage, or with respect to securities which the Advisor considers desirable for inclusion in the Funds' assets; determine which issuers and securities shall be represented in the Funds' investment portfolios and regularly report thereon to the Board of Trustees; formulate and implement continuing programs for the purchases and sales of the securities of such issuers and regularly report thereon to the Board of Trustees; and take, on behalf of the Trust and the Funds, all actions which appear to the Trust and the Funds necessary to carry into effect such purchase and sale programs and supervisory functions as aforesaid, including but not limited to the placing of orders for the purchase and sale of securities for the Funds.
Investment Analysis and Implementation. In carrying out its obligations under Section 1 hereof, the Advisor shall:

Investment Analysis and Implementation. In carrying out its obligation under paragraph 2 hereof, the Sub-Adviser shall:
(a) determine which domestic equity securities shall be represented in the Series' portfolio and regularly report thereon to the Fund's Board of Directors and the Adviser;
(b) formulate and implement continuing programs for the purchase and sale of domestic equity securities and regularly report thereon to the Fund's Board of Directors and the Adviser;
(c) continuously review the Series' security holdings and the investment program and the investment policies of the Series; and
(d) take, on behalf of the Series, all actions which appear necessary to carry into effect such purchase and sale programs, including the placement of orders for the purchase and sale of domestic equity securities for the Series.
Investment Analysis and Implementation. In carrying out its obligations under Section 1 hereof, PowerShares shall:
(a) supervise all aspects of the operations of the Company;
(b) obtain and evaluate pertinent information about significant developments and economic, statistical and financial data, domestic, foreign or otherwise, whether affecting the economy generally or the Company, and whether concerning the individual issuers whose securities are included in the assets of the Company or the activities in which such issuers engage, or with respect to securities, commodities and/or derivatives which PowerShares considers desirable for inclusion in the Company’s assets;
(c) determine which issuers and securities, commodities and/or derivatives shall be represented in the Company’s investment portfolio and regularly report thereon to the Directors of the Company;
(d) formulate and implement continuing programs for the purchases and sales of the securities, commodities and/or derivatives of such issuers and regularly report thereon to the Directors of the Company; and
(e) take, on behalf of the Company, all actions which appear to the Company necessary to carry into effect such purchase and sale programs and supervisory functions as aforesaid, including but not limited to the placing of orders for the purchase and sale of securities, commodities and/or derivatives for the Company.
