Investment Option. ‘‘Investment Option’’ means the Structured Investment Option, a Segment Type Holding Account, or a Variable Investment Option of a Separate Account.
Investment Option. An option in which you have chosen to invest your Plan assets. An Investment Option is operative when you instruct us to deposit or transfer your assets to it. Each Subaccount of the Variable Account and the Fixed Account, if any, is a separate Investment Option.
Investment Option. The key terms of the Investment Option are as follows:
(a) Number of Shares. 112,500
(b) Exercise Price per Share. US$10.00
Investment Option. (a) If APL Sub at any time determines that it intends not to participate in a Capital Contribution relating to a Growth Capital Project in accordance with the terms of the LLC Agreement, then Optionee shall, so long as permitted under APL’s credit agreement and indentures, give notice of the relevant Capital Contribution to Optionholder (the “Offer Notice”), which Offer Notice will be given with sufficient time for Optionholder to exercise its rights under this Agreement. The Offer Notice will set forth all relevant information with respect to the proposed Capital Contribution, including a description of the Growth Capital Project to which the Capital Contribution relates, the amount of such Capital Contribution, and any other terms and conditions of the proposed Capital Contribution.
(b) Optionholder will have the right (but not the obligation) to make an investment in APL Sub (the “Investment”), and receive a membership interest in APL Sub in consideration of such investment (the “Investment Option”). If Optionholder desires to exercise the Investment Option, Optionholder will promptly provide notice of its election, together with a form of agreement to effect such Investment Option (the “Election Notice”) to Optionee at least two days prior to the date in which the Management Committee is required to vote with respect to such Capital Contribution (the “Election Period”), or Optionholder will be deemed to have waived its Investment Option with respect to the subject Capital Contribution, but not with respect to any Investment Option provided to Optionholder by Optionee for future Capital Contributions.
(c) Upon receipt of the Election Notice by Optionholder, Optionholder and Optionee will promptly negotiate in good faith and enter into an amended and restated limited liability company operating agreement governing APL Sub, and the capital accounts of Optionee and Optionholder in APL Sub will be adjusted to reflect the amount invested into APL Sub as a result of Optionholder’s exercise of the Investment Option and Optionholder shall receive a membership interest (with all attendant voting, capital account and liquidation account rights) in APL Sub that is commensurate with Optionholder’s capital account in APL Sub.
Investment Option. One of the available alternatives for crediting investment earnings to a Participant's Account, which shall be based upon the performance of one or a combination of the investment portfolios maintained under the Fund.
Investment Option. PICKSAT hereby grants to ATN the option (the "Investment Option") exercisable by written notice to PICKSAT, with a copy to PICK Communications, at any time after the date hereof and not later than 60 days after the Schedule Date to purchase from PICKSAT 1,990,000 shares (the "Investment Shares") of PICKSAT common stock at a price of $4.02 per share (after giving effect to the changes in PICKSAT's capital stock contemplated by Section 3.1 hereof). Schedule 1 to this Agreement sets out the installments in which such payments are to be made and the goals which are required to be achieved by PICKSAT (unless waived in writing by ATN) for each such installment. Delivery by ATN to PICK Communications of a written notice of exercise of the Investment Option will constitute a legally binding commitment of ATN to purchase the Investment Shares on the terms and conditions specified in this Agreement. The Investment Option and this Option Agreement shall expire, unless the Investment Option is theretofore exercised by ATN, within sixty (60) days after the Schedule Date.
1.1 ATN has heretofore and may from time to time hereafter make loans to PICKSAT. Such loans, including all accrued and unpaid interest thereon, shall be credited against the purchase price for the Investment Shares.
1.2 Immediately upon receipt of notice from ATN exercising the Investment Option and payment of any installment of the purchase price due at the time of such exercise, PICK Communications and each subsidiary of PICK Communications other than PICKSAT shall release and forever discharge PICKSAT from any and all inter-company liabilities of PICKSAT, including any and all inter-company indebtedness, arising on or prior to the date of such release, and PICKSAT shall release and forever discharge PICK Communications and each subsidiary of PICK Communications, other than PICKSAT, from any and all inter-company liabilities, including inter-company indebtedness, to PICKSAT arising on and prior to the date of such release. Within 10 days after the receipt by PICKSAT and PICK Communications of notice from ATN exercising the Investment Option, PICK Communications shall furnish to ATN executed releases from PICK Communications and each of its subsidiaries, other than PICKSAT, evidencing the release and discharge of PICKSAT from the above mentioned liabilities.
Investment Option. Any investment vehicle, including but not limited to mutual funds and annuity contracts, where Plan assets are or may be invested, transferred, or rolled over. Any Investment Option offered as part of a trust or custodial account held by the Contract Holder and record kept in common with this Contract by the Company, or a company affiliated with the Company, shall be treated as an Investment Option offered under the Contract. Upon request, the Contract Holder must provide the Company with a copy of any prospectus, or other disclosure material, for any Investment Option offered by the Plan to Participants and any contractual agreement between an Investment Option provider and the Contract Holder.
Investment Option. The Investment Option shall become vested and exercisable with respect to 100% of the Shares subject to such Option on the 180th day following the date of the commencement of the Optionee’s employment with Gxxxxxx Denver, Inc. provided the Optionee remains employed by Gxxxxxx Denver, Inc. through such date.
Investment Option. Pursuant to Section 2.3 of the Securities Purchase Agreement, ValueStar is authorized to issue and sell additional shares of Series CC Stock, up to a maximum aggregate total of 500,000 shares (including shares issued at the Initial Closing (as defined in the Securities Purchase Agreement)). ValueStar hereby agrees to reserve, and grants FDMS or an Affiliate (as defined in the Development Agreement) designated by FDMS, the option (the "Option") to purchase, for cash up to 177,778 additional shares of Series CC Stock and related warrants on the same terms as are set forth in Section 1 above and the Securities Purchase Agreement up and to the date of March 31, 2001. This Option may be exercised only one time and in a minimum of $1,000,000.
Investment Option a. The CAA account shall initially be invested in the investment option selected on the adoption agreement. The timing of the initial investment and all subsequent investments or portfolio changes are at Xxxxxxx Xxxxx Charitable’s discretion
x. Xxxxxxx Xxxxx Charitable may change investment options offered to existing CAA at any time.
c. Subsequent changes to the investment option recommended by the NPO or Advisory Committee are subject to paragraph 4 above.
