The Investor Status clause defines the qualifications or representations an investor must meet to participate in a particular investment. Typically, this clause requires investors to confirm that they meet certain legal or regulatory standards, such as being an accredited or sophisticated investor under applicable securities laws. By ensuring that only eligible investors participate, the clause helps the issuer comply with legal requirements and reduces the risk of regulatory violations.
Investor Status. At the time such Investor was offered the Securities, it was, and at the date hereof it is, and on each date on which it exercises Warrants it will be, an “accredited investor” as defined in Rule 501(a) under the Securities Act. Such Investor is not a registered broker-dealer under Section 15 of the Exchange Act.
