IPR and Promotional Materials. 2.1 Client hereby grants Global and the Operating Company(ies) and Global and Operating Company(ies) accept(s) a non-exclusive, non- assignable (save as per clause 10.4 below) royalty free licence to use the Client Xxxx(s) for all purposes relating to delivering the Festival Rights and Campaign to Client, subject to Global and Operating Company(ies) complying with any guidelines relating to the use of Client Mark(s) as provided to Global by Client prior to the Effective Date. Client shall at its own expense supply to Operating Company and/or Global the finished artwork of Client Xxxx(s) within a reasonable time from the Effective Date and in a suitable form to enable the Client Mark(s) to be used by and reproduced by Global or Operating Company(ies) in order for Global to provide the Festival Rights to Client and to comply with its obligations hereunder in relation to the Campaign. 2.2 Client agrees and consents to the use and reproduction by or on behalf of Operating Company of the Client Mark(s) in any audio, visual and audio-visual or electronic recordings of the Festival(s) (in the sense of incidental inclusion thereof), by all or any means and in all or any form of media whether now known or invented in the future, for the purposes of advertising the Festival(s) and/or future versions of the Festival(s). 2.3 Client shall not in any way alter the Festival Mark(s). 2.4 The Parties acknowledges that they shall not acquire by operation of this Agreement or otherwise any IPR relating to another Party and Client acknowledges that it shall not acquire by the operation of this Agreement or otherwise any IPR relating to the Operating Company(ies), Global, any Group Company, any Global brand, any of the Festival(s) and/or any artist appearing at any of the Festival(s). 2.5 Global hereby grants Client and Client accepts a non-exclusive, non-assignable, royalty free licence to use the Festival Mark(s) within the Territory during the Term for the purposes set out in this Agreement. Client shall ensure that each use of the Festival Mark(s) has been approved in writing in advance of such use by Operating Company on each occasion and shall be in accordance with the terms and conditions of this Agreement, all instructions issued by or on behalf of Operating Company and the Brand Guidelines. 2.6 Client shall ensure that all proposed uses by it of the Festival Mark(s) shall be provided to Operating Company no later than 30 days before the Festival. 2.7 All IPR belonging...

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Advertising and Promotional Materials The Purchaser acknowledges and agrees that the Vendor shall have the right to use drawings, photographs, videos or other depictions of the interior and/or exterior of the Dwelling and/or the Subdivision or any components or features thereof in any promotional or advertising materials without notice to or consent from the Purchaser being required in any manner whatsoever.

  • Instructional Materials A. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession. B. Efforts shall be continued to seek and use instructional materials which reflect the contribution and presence of diverse ethnic and cultural groups. C. 1. Selection of instructional materials for each school shall be made by a committee of teachers chosen by the faculty within that school.

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery. (b) During the term of this Agreement, the Manager agrees to furnish the Sub-Adviser at its principal office all prospectuses, proxy statements, reports to shareholders, or Marketing Materials prepared for distribution to shareholders of each Series, or the public that refer to the Sub-Adviser in any way, prior to the use thereof, and the Manager shall not use any such materials if the Sub-Adviser reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. The Sub-Adviser’s right to object to such materials is limited to the portions of such materials that expressly relate to the Sub-Adviser, its services and its clients. The Manager agrees to use its reasonable best efforts to ensure that materials prepared by its employees or agents or its affiliates that refer to the Sub-Adviser or its clients in any way are consistent with those materials previously approved by the Sub-Adviser as referenced in the first sentence of this paragraph. Marketing Materials may be furnished to the Sub-Adviser by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.
