Issuance and Grant. Pursuant to the terms and subject to the conditions set forth in this Agreement, the LLC Agreement and the Plan, the Company hereby agrees to issue and grant to the Employee the number of Class B Units of the Company in the amount set forth on Schedule A attached hereto. The Class B Units shall vest based on the passing of time as set forth in Section 4. Capitalized terms used in this Agreement and not otherwise defined in this Agreement shall have the meanings assigned to them in the LLC Agreement or the Plan, as the case may be.
