Common use of Issue Tax Clause in Contracts

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any Warrant shall be made without a charge to the Warrantholder for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholder.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any Warrant shall be made without a charge to the Warrantholder for any issuance tax in respect thereof, thereto provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholder.

The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall be made without a charge to the Warrantholder holders thereof for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of this Warrant.

The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall be made without a charge to the Warrantholder Holders of this Warrant for any issuance tax in respect thereof, thereof provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of this Warrant.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise conversion of any Warrant the Notes shall be made without a charge to the Warrantholder holders thereof for any issuance tax in respect thereof, provided that the Company Corporation shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderholder of the Note the principal amount of which is being converted.

Issue Tax. The issuance of certificates for shares of Common Stock upon the total or partial exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, provided that the Company shall thereof (not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderincluding income or capital tax).

Issue Tax. The issuance of certificates for the shares of Common Stock upon exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, thereof provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder.

The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall be made without a charge to the Warrantholder Holders of this Warrant for any issuance tax in respect thereof, thereof provided that the Company Corporation shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of this Warrant.

The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder Holder of this Warrant for any issuance issue tax (other than applicable income taxes) in respect thereof, provided provided, however, that the Company shall not be required to pay any tax which that may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderthen Holder of this Warrant being exercised.

Issue Tax. The issuance of certificates for shares of Common the New Preferred Stock Shares upon exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, thereof provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder.

Issue Tax. The issuance of certificates for shares of Common Stock upon the exercise of any the Warrant shall be made without a charge to the Warrantholder Holder for any issuance issue tax (other than any applicable income taxes) in respect thereof; PROVIDED, provided HOWEVER, that the Company shall not be required to pay any tax which that may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall be made without a charge deduction to the Warrantholder Holders of this Warrant for any issuance tax in respect thereof, thereof provided that the Company Corporation shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of this Warrant.

The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder holder of this Warrant for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholder.

The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder Holder of this Warrant for any issuance issue tax in respect thereof; provided, provided however, that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderthen Holder of this Warrant being exercised, and Holder shall pay any tax imposed on holder with respect to any gain on the exercise of the Warrant.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder.

Issue Tax. The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made free of all liens and without a charge to the Warrantholder Holder of this Warrant for any issuance tax issue or transfer taxes or other incidental expenses in respect thereofthereof (all of which taxes and expenses shall be paid by the Company); provided, provided however, that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderthen Holder of the Warrant being exercised.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any Warrant the Warrants shall be made without a charge to the Warrantholder registered holders of such Warrants for any issuance tax in respect thereof, ; provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of any registered holder of the WarrantholderWarrants.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise of any this Warrant shall will be made without a charge to the Warrantholder Holders of this Warrant for any issuance tax in respect thereof, thereof provided that the Company shall Corporation will not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of this Warrant.

The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of the Warrant exercised.

Issue Tax. The issuance of certificates for shares of Common Stock upon the exercise of any Warrant the Warrants shall be made without a charge to the Warrantholder holders of such Warrants for any issuance tax in respect thereofthereto, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderregistered holder of the Warrant exercised.

Issue Tax. The issuance of certificates for shares of Common Stock upon exercise conversion of any Warrant the Convertible Debentures shall be made without a charge to the Warrantholder holders thereof for any issuance tax in respect thereof, provided that the Company Corporation shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderholder of the Convertible Debenture the principal amount of which is being converted.

Issue Tax. The issuance of certificates for shares of Common Stock upon the exercise of any the Warrant shall be made without a charge to the Warrantholder Holder of the Warrant for any issuance issue tax (other than any applicable income taxes) in respect thereof; provided, provided however, that the Company shall not be required to -------- ------- pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderthen Holder of the Warrant being exercised.

The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder original Holder for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the WarrantholderHolder of the Warrant exercised.

Issue Tax. The issuance of certificates for shares of Common Stock upon the exercise of any this Warrant shall be made without a charge to the Warrantholder Holder for any issuance tax in respect thereof, provided that the Company shall not be required to pay any tax which that may be payable in respect of any transfer involved in the issuance and delivery of any certificate in a name other than that of the Warrantholderoriginal Holder of this Warrant.
