Joint Agreement. The provisions of this Agreement and each document delivered pursuant hereto shall be deemed to be the joint effort of each of the parties hereto and shall not be construed more severely or strictly against any one or more parties.
Joint Agreement. If all Parties agree in writing to terminate the Agreement, then the Agreement shall be so terminated.
Joint Agreement. 1. The Agreement may be concluded jointly (“Joint Agreement”) by two, three or four persons (“Joint Holders”). The provisions of this Section 5, as well as the other provisions hereof and the applicable provisions of the Terms and Conditions, shall apply to the Joint Agreement (in such case, the provisions applicable to the Client shall be binding upon all the Joint Holders).
2. Pursuant to the Joint Agreement, the Bank shall maintain a joint Account or a Joint Holders’ Account, provide the Joint Holders with other services specified in the Agreement and in the Terms and Conditions, provided that they are activated pursuant hereto and to the Terms and Conditions during the term hereof, and provides communication channels for the Joint Holders and the Bank.
3. Each Joint Holder shall have separate and independent access to the Bank’s Branch Offices, Citibank Online electronic banking service and CitiPhone phone banking service, as well as toany other communication channels with theBank specified intheTerms and Conditions.
4. Each of the Joint Holders shall be entitled and authorized to submit instructions concerning the funds deposited on the joint Accounts, which shall be binding upon all the Joint Holders, as well as to activate and deactivate Accounts and open Term Deposits under the Joint Agreement. Each of the Joint Holders may also in their own name activate and deactivate individual products including the Citicard assigned to the joint Account.
5. The Joint Holders shall be jointly and severally liable to the Bank for theproper performance hereof. Atthesame time, Joint Holders shall be deemed joint and several creditors of the Bank.
6. The Bank shall be authorized to direct correspondence (including Account statements and amendments to the Terms and Conditions and to the Table of Fees and Charges) and make declarations of intent to the Joint Holder designated as Client 1.
7. Withdrawal from or termination of the Agreement by one of the Clients shall be effective for all the Joint Holders. A joint statement of all the Joint Holders is required for the conversion of the Joint Agreement into an individual agreement or for the withdrawal of a Joint Holder from the Joint Agreement. Any such conversion of a Joint Agreement into an individual agreement or the withdrawal of a Joint Holder from the Joint Agreement shall result in the deactivation of the products and services which are not provided by the Bank as joint products or services, with the exception ...
Joint Agreement. Definitions shall be as set forth in the Amended and Restated License Agreement, with additional definitions, for purposes of this Joint Defense and Enforcement Agreement only, being:
Joint Agreement. Any representations or statements or other agreements whose substance contradicts with this Agreement in writing or verbally between both parties shall not prevail.
Joint Agreement. This AGREEMENT shall be considered the joint product of all parties hereto, and in the event of any controversy as to the construction of any provision hereof, such controversy shall not be construed against any party as the alleged drafter of this AGREEMENT.
Joint Agreement. This agreement becomes effective on the date of the last signature and may be terminated by either party, or modified by mutual agreement of both parties. The provisions of this agreement are understood by the cooperator and the district, and neither shall be liable for damage on the other’s property resulting from carrying out this agreement, unless such damage is caused by negligence or misconduct.
Joint Agreement. Many grievances will be able to be settled by joint agreement between the people involved in the grievance. No records or notes will go on anyone’s personnel file. The person who handled the grievance will write a confidential report. This report will be filed in a confidential grievance filing system within Employee Relations. Only senior managers and Employee Relations staff will have access to this, and only when necessary.
Joint Agreement. To the extent there is any conflict between the Joint Agreement and this Agreement, this Agreement shall control with respect to any provision impacting and/or relating to allocation of Tax Increment Payments. The parties acknowledge that their obligations under the Joint Agreement shall otherwise remain in full force and effect.
Joint Agreement. A formal and continuing relationship would be beneficial to the agendas of both organizations. The mission of FOG is to serve as a platform for volunteers who served in Gabon to connect and maintain contact with each other and with their country of service. EDLP is dedicated to completing projects in Gabon as a way of giving back to the people who had a profound impact on volunteers' lives. Former Peace Corps Volunteers who served in Gabon created the two organizations. NOW THEREFORE, IN CONSIDERATION OF THE ABOVE REPRESENTATIONS, EDLP and FOG agree, through this MOU, to initiate a working relationship designed to support the goals and objectives of both organizations, as follows:
(A) The support of RPCVs who served in Gabon is critical to the success of the volunteer projects undertaken. Therefore, it is important that EDLP keep RPCVs informed and up• to-date about program activities. Through the cooperation and assistance of FOG, EDLP will be able to maintain on-going communication with a large pool of RPCVs as well as other friends of Gabon through the FOG newsletter. EDLP will provide such information to FOG regularly, but not less than each six months, at such times as are necessary to meet the deadlines for the newsletter.
(B) EDLP will: • Serve as the project arm for FOG, to design, organize and carry out activities in Gabon • Assist in recruiting members for FOG; • Reference FOG in all EDLP program descriptions, including the EDLP website; • Provide FOG with potential contacts of organizations and individuals who might be helpful in achieving its goals and objectives; • Provide support for FOG-sponsored programs on a case-by-case basis (subject to EDLP Board approval in each instance). • Maintains full and sole responsibility for its legal and financial relationship with FJC.
