Jointly Prepared. This Agreement has been prepared jointly and shall not be strictly construed against either Party.
Jointly Prepared. This Agreement is to be deemed to have been prepared jointly by the Parties hereto, and any uncertainty or ambiguity existing herein, if any, shall not be interpreted against any Party, but shall be interpreted according to the application of rules of interpretation for arm's-length agreements.

Jointly Prepared. This Agreement has been prepared jointly by the Parties with the advice of their attorneys. No ambiguity in the language of this Agreement shall be construed against any Party.
Jointly Prepared. This Agreement will be deemed to have been drafted by both Lilly and Magen and will not be construed against either Party as the draftsperson hereof.
Jointly Prepared. As this document is the result of extensive negotiation by the parties, it shall be deemed to be jointly written and prepared by the parties.
Jointly Prepared. The Parties agree that for all purposes of this Agreement they shall be deemed to have participated jointly in the negotiation and drafting of this Agreement. If any ambiguity or question of intent or interpretation arises, then (a) this Agreement shall be construed as if drafted jointly by the Parties and (b) no provision shall be construed more severely against any Party. Without limiting the generality of the preceding sentence, no presumption or burden of proof shall arise or apply favoring or disfavoring any Party by virtue of the authorship of any one or more provisions of this Agreement.
