Jurisdiction, Venue and Choice of Law. The venue for any suit or proceeding concerning this Agreement, including the interpretation or application of any of its terms or any related disputes, shall be in the County of San Diego, State of California. This Agreement is entered into and shall be construed and interpreted in accordance with the laws of the State of California.
Jurisdiction, Venue and Choice of Law. The parties hereby mutually agree to the exclusive jurisdiction of the Superior Court (inclusive of the Business Litigation Session) of the Commonwealth of Massachusetts or the United States District Court for the District of Massachusetts for any dispute arising hereunder. Accordingly, with respect to any such court action, Employee (a) submits to the personal jurisdiction of such courts; (b) consents to service of process by regular mail to his last known address; and (c) waives any other requirement (whether imposed by statute, rule of court, or otherwise) with respect to personal jurisdiction or service of process. If either party hereto commences a legal action or other proceeding against the other party concerning a dispute arising from or relating to this Agreement outside of Massachusetts, such commencing party shall reimburse such other party for its or his reasonable attorneys’ fees, costs and expenses if such other party prevails in staying, transferring, dismissing or otherwise defending such action or proceeding based on the location of the action or proceeding, regardless of whether such fees, costs and expenses are incurred in the forum where such commencing party commenced the action or in a Massachusetts forum. This Agreement shall be governed by the internal substantive laws of Massachusetts, without regard to the doctrine of conflicts of law.
Jurisdiction, Venue and Choice of Law. The Buyer expressly agrees that exclusive jurisdiction and venue of any dispute arising from this Agreement shall be in the appropriate state or federal court sitting in Bernalillo County, New Mexico, and the laws of the state of New Mexico (without regard to its conflict of laws principles) shall govern the dispute, it being agreed by the Parties hereto that this agreement is performable, in whole or in part, in Bernalillo County, New Mexico.

Plaintiffs/Counterclaim Defendants, Xxxxx, and 11 K2M and any other person or entity subject to the terms of this Agreement agree that the 12 United States District Court for the Eastern District of California shall have personal 13 jurisdiction over it/them with respect to this Agreement, exclusive jurisdiction over the 14 subject matter of this Agreement, and exclusive venue with respect to this Agreement, for the 15 purposes of enforcing this Agreement, notwithstanding any subsequent disposition of the 16 Litigation. Plaintiffs/Counterclaim Defendants, Xxxxx, and K2M and any other person or 17 entity subject to the terms of this Agreement further agree that California law shall govern 18 any action to enforce or relating to this Agreement.

The Buyer expressly agrees if the Buyer purchases goods from the Seller from its places of business in the states of Colorado jurisdiction and venue of any dispute arising from this agreement shall be in Adams County, Colorado, the obligations shall be performable in Adams County, Colorado, and the laws of the state of Colorado shall govern the dispute. If the Buyer purchases goods from the Seller from its places of business in the state of New Mexico, jurisdiction and venue of any dispute arising from this agreement shall be in Bernalillo County, New Mexico, the obligations shall be performable in Bernalillo County, New Mexico, and the laws of the state of New Mexico shall govern the dispute. If the Buyer purchases goods from the Seller from its places of business in the state of Texas, jurisdiction and venue of any dispute arising from this agreement shall be in El Paso County, Texas, the obligations shall be performable in El Paso County, Texas, and the laws of the state of Texas shall govern the dispute.

Accordingly, with respect to any such court action, Employee (a) submits to the personal jurisdiction of such courts; (b) consents to service of process by regular mail to his last known address; and (c) waives any other requirement (whether imposed by statute, rule of court, or otherwise) with respect to personal jurisdiction or service of process. If either party hereto commences a legal action or other proceeding against the other party concerning a dispute arising from or relating to this Agreement outside of Florida, such commencing party shall reimburse such other party for its or his reasonable attorneys’ fees, costs and expenses if such other party prevails in staying, transferring, dismissing or otherwise defending such action or proceeding based on the location of the action or proceeding, regardless of whether such fees, costs and expenses are incurred in the forum where such commencing party commenced the action or in a Florida forum. This Agreement shall be governed by the internal substantive laws of Florida, without regard to the doctrine of conflicts of law.
Jurisdiction, Venue and Choice of Law. This Agreement shall be governed by and be interpreted in accordance with the laws of the State of Texas. The parties agree and consent to the exclusive jurisdiction of the courts of the State of Texas for all purposes regarding this Agreement and further agree and consent that venue for any action in any way related to this Agreement shall rest exclusively in Harris County, Texas. The parties agree to waive their right to a jury trial.
Jurisdiction, Venue and Choice of Law. The Terms of Use and the relationship between You and Alertus shall be governed by the laws of the State of Maryland without regard to its conflict of law provisions. You and Alertus agree to submit to the personal and exclusive jurisdiction of the United States District Court for the District of Maryland and the Maryland state courts.
Jurisdiction, Venue and Choice of Law. Customer expressly acknowledges, consents and agrees to the personal and subject matter jurisdiction of the Province of Ontario. Customer further expressly acknowledges, consents and agrees that venue for any action relating to the Equipment purchased and/or payment thereon, or to enforce the terms and conditions relating to any purchase by Customer from Company, shall be the courts in the Province of Ontario. The laws of the Province of Ontario shall apply as the parties choice of law to any dispute arising or relating to Customer’s Purchase of any equipment without application of its or any other jurisdiction’s conflict of laws principles. In the event the Company is forced to retain the services of an attorney to recover monies owed by Customer to Company, or otherwise to enforce the terms of this Contract, Company shall be entitled to recover from the Customer all of the Company’s attorney’s fees and costs, including costs on appeal and/or collection, whether or not suit is initiated.
Jurisdiction, Venue and Choice of Law. This Agreement and all matters arising out of or otherwise relating to this Agreement shall be governed by the laws of the State of Delaware, excluding its conflict of law provisions. The parties hereby submit to the personal jurisdiction of the state and federal courts of Lewes, Delaware in the event litigation permitted under this Agreement is initiated. Exclusive venue for any litigation permitted under this Agreement shall be with the state and federal courts located in Lewes, Delaware. The parties agree that this choice of venue, jurisdiction, and forum as set out in the following parts of this Agreement is mandatory and not permissive in nature, thereby precluding any possibility of litigation between the parties with respect to, or arising out of, this Agreement in jurisdiction other than that specified in this Section. All parties hereby waive any right to assert the doctrine of forum non-conveniens or similar doctrines, or to object to venue with respect to any proceeding brought in accordance with this paragraph or with respect to any dispute under this Agreement whatsoever. Each party hereby authorizes and accepts service of process sufficient for personal jurisdiction in any action against it, as contemplated by this paragraph by registered or certified mail, Federal Express, proof of delivery or return receipt requested, to the parties address for the giving of notices as set forth in this Agreement.
