The Justifiable Reliance clause defines that a party’s right to claim damages or seek remedies is contingent upon their reasonable reliance on the representations or statements made by the other party. In practice, this means that if a party knew or should have known that a statement was false or unreliable, they cannot later claim to have been misled by it.
