Justifiable Reliance Sample Clauses

The Justifiable Reliance clause defines that a party’s right to claim damages or seek remedies is contingent upon their reasonable reliance on the representations or statements made by the other party. In practice, this means that if a party knew or should have known that a statement was false or unreliable, they cannot later claim to have been misled by it. This clause serves to prevent parties from asserting claims based on information they could not reasonably have trusted, thereby promoting fairness and discouraging opportunistic or bad faith claims.
