Key Employee ----------------------------------------------- represents that, as of the date of this Agreement, Key Employee has not taken any action that would result in the Pledged Shares being subject to any adverse claims, liens, or encumbrances (other than the pled-e under this Agreement), and, to his knowledge, there are no adverse claims, liens, or encumbrances on the Pledged Shares as of the date of this Agreement.
