Key Employment Agreements. The Key Employees and Borrower shall have executed the Key Employment Agreements.
Key Employment Agreements. Promptly after execution thereof the Administrative Agent shall have received true and correct copies, certified as such by the Borrower, of the Key Employment Agreements and the Administrative Agent shall be reasonably satisfied with the material terms thereof.
Key Employment Agreements. Prior to Closing or with effect from the Closing Date, the Company shall take best commercial efforts to enter into amended employment agreements with certain individuals as agreed between the Parent and the Company, in a form of the employment agreement(s) to be agreed between Parent and Company (both parties acting reasonably).

Key Employment Agreements. An employment agreement for each Key Employee, in form and substance reasonably satisfactory to Buyer, duly executed by Buyer and each respective person.
Key Employment Agreements. No Key Employee shall have provided notice of his intent not to assume employment pursuant to his Key Employment Agreement as of the Closing Date.
