Key Employment Agreements. The Key Employees and Borrower shall have executed the Key Employment Agreements.
Key Employment Agreements. Promptly after execution thereof the Administrative Agent shall have received true and correct copies, certified as such by the Borrower, of the Key Employment Agreements and the Administrative Agent shall be reasonably satisfied with the material terms thereof.
Key Employment Agreements. Prior to Closing or with effect from the Closing Date, the Company shall take best commercial efforts to enter into amended employment agreements with certain individuals as agreed between the Parent and the Company, in a form of the employment agreement(s) to be agreed between Parent and Company (both parties acting reasonably).
Key Employment Agreements. The Company will have in full force and effect on the Closing Date employment agreements with the following individuals Xxxxxxx X. Xxxxxxxx, Xxxxx X. Xxxxx, Xxxx Xxxxxx, August Xxxxx and Xxxxx X. Xxxxxxxxx, each on terms and conditions reasonably acceptable to the Investors, and all preexisting employment agreements with such persons shall be of no further force and effect.
Key Employment Agreements. The Employment Agreement as described in Section 1.2(a)(viii) signed by the Buyer for each Key Employee.
Key Employment Agreements. At the Closing, Surviving Corporation shall confirm, in writing (the "Key Employees Confirmation"), that the employment agreement between Biodiesel and each of the key employees noted on Schedule 14.8, attached hereto and incorporated herein by reference, shall be continued in full force and effect with Surviving Corporation.
Key Employment Agreements. The Key Employment Agreements shall be in full force and effect and no Key Employee shall have terminated his employment with the Company or delivered any notice to the Company of any intention to leave the employ of the Company or Parent.
