The Key Suppliers clause identifies specific vendors or service providers that are critical to the performance of a contract. It typically requires the contracting party to notify or obtain consent from the other party before changing, replacing, or terminating these key suppliers. For example, if a company outsources essential IT services, the clause may mandate that any change in the IT provider must be approved by the client. This clause ensures continuity and quality of service by maintaining oversight over crucial third-party relationships, thereby reducing the risk of disruption to the contracted deliverables.

Key Suppliers. All GDE components and resourcing will be provided under a single contract by the System C/Graphnet Alliance. System C has concluded a Strategic Agreement with Microsoft that will form the basis of supply for underlying components of the GDE solutions, including Azure cloud services, Azure AI, and HealthVault. UHBristol is currently negotiating a long-term enterprise agreement with Microsoft for consumer and infrastructure licence products but this is not a core GDE component. Other consumer products such as end-user devices, etc. will be sourced through the most favourable framework or procurement route available at the time of requirement.
Key Suppliers. (a) Part 3.13 of the Disclosure Schedule sets forth a correct and complete list of the 10 largest suppliers, vendors or providers (by dollar volume) of products or services to the Acquired Companies (including, without limitation, advertising and marketing third party providers) during calendar year 2014 (each, a “Key Supplier”). Part 3.13 of the Disclosure Schedule also sets forth, for each Key Supplier, the aggregate payments from and to such Person by the Acquired Companies during such periods. To the knowledge of Seller, there are no outstanding disputes with any Key Supplier.
(b) Since December 31, 2014, none of the suppliers listed on Part 3.13 of the Disclosure Schedule has indicated that it shall stop, or materially decrease the rate of, supplying materials, products or services to the Acquired Companies, or otherwise materially change the terms of its relationship with the Acquired Companies.

We visited each supplier first hand, to ensure their produce meets our exacting standards. We also double checked with some of their other customers to ensure their quality and service was consistent. Where possible, alternative suppliers have also been sourced in case any problems occur. Payment Terms: 10 Days. 5% interest for late payment Alternative Supplier: Halvour Farm The Grange Estate will be providing a large selection of our meats for use in sandwich fillings. They pride themselves on fresh, well cared for produce, and would make a great addition for our focus on local farmers. They provide only the best local corn-fed free range chicken, beef hung for a minimum of 21 days and their bacon and ham comes from award winning organic pigs. As we are a new customer to them, they have set their payment days at 10 days. This includes a 5% interest charge for any late payments. Therefore we need to monitor the cash flow carefully to ensure prompt payment, and hopefully to extend the payment days. Halvour Farm could prove to be an alternative supplier, but they don't quite have the same quality meats as The Grange Estate.
Key Suppliers. (a) Section 3.19(a) of the Disclosure Letter sets forth a true, correct and complete list of the top 10 suppliers, measured by annual revenue to the Company and its Subsidiaries, on a consolidated basis, during the 12-month period ended as of June 30, 2023 (“Key Suppliers”).
(b) Except as would not be material to the Company and its Subsidiaries, taken as a whole, no Key Supplier has terminated, suspended, cancelled or materially and adversely modified (i) its business relationship with the Company and/or any of its Subsidiaries or (ii) the terms of a Material Contract. Neither the Company nor any of its Subsidiaries has received written notice that any such Key Supplier intends to terminate, suspend, cancel or materially and adversely modify its business relationship with the Company and/or any of its Subsidiaries or the terms of a Material Contract. As of the date of this Agreement, there are no unresolved material claims or disputes pending between the Company and/or any of its Subsidiaries, on the one hand, and any Key Supplier, on the other hand.

Schedule 3.23 also sets forth the aggregate payments to such Key Suppliers by the Company and its Subsidiaries during such periods. There are no outstanding disputes with any of the Key Suppliers.

Payment Terms: 30 Days Alternative Supplier: None Bread Fresco will be our main supplier for all our breads. They have a great selection to offer and all their bread is baked freshly every morning. They have offered us an attractive 30 days credit on all purchases. The main issue at the moment is that we haven't managed to source any alternative bread suppliers. We will therefore continue to look for alternative suppliers in case any issues arise.
