Know-How Transfer Support Clause Samples
The Know-How Transfer Support clause requires one party to assist the other in effectively transferring specialized knowledge, skills, or technical information related to a product, process, or technology. This support may include providing training sessions, documentation, or on-site assistance to ensure the recipient can fully utilize or implement the know-how. The core function of this clause is to facilitate a smooth and efficient transfer of expertise, minimizing misunderstandings and ensuring the recipient can independently operate or maintain the subject matter.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.5 (Assignment and Disclosure), Partner will, for a period of [***] months from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as Kiniksa may reasonably request to assist Kiniksa in becoming familiar with such Know-How in order for Kiniksa to undertake further Exploitation of the Licensed Product at Kiniksa’s cost and expense at Partner’s FTE Rate.
Know-How Transfer Support. Upon any termination of this Agreement, in furtherance of the license of Grantback IP pursuant to Section 13.4.3 (Intellectual Property License to Takeda), Neurocrine will, for a period of [***] from the effective date of such termination, provide a reasonable amount of consultation or other assistance, as Takeda may reasonably request to assist Takeda in becoming familiar with such Grantback IP in order for Takeda to undertake further Exploitation of the Terminated Products in the Terminated Territory. Neurocrine will provide assistance and the Parties will bear costs of such assistance as set forth in Section 13.4.7(b) (Assignment and Disclosure). 13.4.12.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 16.8.5 (Assignment and Disclosure), ▇▇▇ will, for a period of [***] from the effective date of such termination, provide such consultation or other assistance, as Ionis may reasonably request to assist ▇▇▇▇▇ in becoming familiar with such Know-How in order for Ionis to undertake further Exploitation of the Licensed Products [***].
Know-How Transfer Support. With respect to the Terminated Territory, following the Termination Effective Date, upon the request of Alnylam, Roche shall [****].
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 14.11.6 (Assignment and Disclosure), Thera will, for a period of six months from the effective date of such termination, provide such consultation or other assistance, as Ionis may reasonably request to assist ▇▇▇▇▇ in becoming familiar with such Know-How in order for Ionis to undertake further Exploitation of the Terminated Products in the Thera Territory at Ionis’ cost and expense (including any External Costs).

In the event of a termination of this Agreement by ▇▇▇▇▇▇▇ pursuant to any of the Sections 10.3 through 10.5 in furtherance of the assignment of Know-How pursuant to Clause (c) above, Company will for a period of [***] from the effective date of termination of this Agreement, provide such reasonable consultation or other assistance as ▇▇▇▇▇▇▇ may reasonably request to assist ▇▇▇▇▇▇▇ in becoming familiar with such Know-How in order for Marinus to undertake further Exploitation of the Licensed Products in the Territory, provided that, Marinus shall [***] within [***] after receiving Company’s invoice therefor.

In furtherance of the assignment of Know-How pursuant to Section 15.3.2(c) (Assignment and Disclosure), Licensee will, for a period of [***] months from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as Licensor may reasonably request to assist Licensor in becoming familiar with such Know-How in order for Licensor to undertake further Exploitation of each Licensed Product. Such assistance with be at Licensee’s sole cost and expense. After the expiration of such [***] month period, and for a period of up to [***] months from the effective date of termination of this Agreement, Licensor may request continued reasonable assistance from Licensee at Licensor’s sole cost and expense, and Licensee shall use Commercially Reasonable Efforts to provide such reasonable assistance upon Licensor’s request and to the extent agreed to by Licensee.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.4 (Assignment and Disclosure), Partner will, for a period of [***] from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as ImmunoGen may reasonably request to assist ImmunoGen in becoming familiar with such Know-How in order for ImmunoGen to undertake further Exploitation of each Licensed Product at ImmunoGen’s cost and expense at Partner’s FTE Rate.

In furtherance of the assignment of Know-How pursuant to Section 15.3.4 (Assignment and Disclosure) and in addition to the requirements in Section 15.3.9 (Supply Following Termination), Zai will for a period of [****] from the effective date of termination of this Agreement, provide such consultation or other assistance as Blueprint may reasonably request to assist Blueprint in becoming familiar with such Know-How in order for Blueprint to undertake further Exploitation of the Licensed Products following termination of this Agreement [****].
