Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.5 (Assignment and Disclosure), Partner will, for a period of [***] months from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as Kiniksa may reasonably request to assist Kiniksa in becoming familiar with such Know-How in order for Kiniksa to undertake further Exploitation of the Licensed Product at Kiniksa’s cost and expense at Partner’s FTE Rate.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.2(c) (Assignment and Disclosure), Licensee will, for a period of [***] months from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as Licensor may reasonably request to assist Licensor in becoming familiar with such Know-How in order for Licensor to undertake further Exploitation of each Licensed Product. Such assistance with be at Licensee’s sole cost and expense. After the expiration of such [***] month period, and for a period of up to [***] months from the effective date of termination of this Agreement, Licensor may request continued reasonable assistance from Licensee at Licensor’s sole cost and expense, and Licensee shall use Commercially Reasonable Efforts to provide such reasonable assistance upon Licensor’s request and to the extent agreed to by Licensee. 15.3.5
Know-How Transfer Support. Where applicable, in furtherance of the assignment of Know-How pursuant to Section 15.4 (Assignment and Disclosure), ALJ will, and will cause its or its Affiliates, Sublicensees, or Subcontractors to, for a period of [***] from the effective date of termination of this Agreement with respect to a Terminated Product in a Terminated Country, provide such consultation or other assistance as Evelo may reasonably request to assist Evelo in becoming familiar with such Know-How in order for Evelo to undertake further Exploitation of such Terminated Product, without charge.
Know-How Transfer Support. Upon any termination of this Agreement other than by Roche for Sarepta’s material breach pursuant to Section 14.2 (Termination for Breach), in furtherance of the license of Roche Background Know-How and Roche Collaboration Know-How pursuant to Section 14.8.4 (Intellectual Property License to Sarepta), Roche will, for a period of one hundred and eighty (180) days from the effective date of such termination, provide such consultation or other assistance, as Sarepta may reasonably request to assist Sarepta in becoming familiar with such Roche Background Know-How and Roche Collaboration Know-How in order for Sarepta to undertake further Exploitation of the Terminated Products in countries of the Continued Countries List, at Sarepta’s cost and expense.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 13.4.6 (Assignment and Disclosure), Torii will, for a period of twelve (12) months from the effective date of termination of this Agreement, provide such consultation or other assistance as BioCryst may reasonably request to assist BioCryst in becoming familiar with such Know-How in order for BioCryst to undertake further Exploitation of the Licensed Product, at BioCryst’s cost and expense; provided that if the Agreement is terminated by Torii for any reason other than pursuant to Section 13.2.2 (Termination for Cause) for Default by BioCryst, then Torii will provide the first [***] of Torii services dedicated to such assistance free of charge.
Know-How Transfer Support. Upon any termination of this Agreement, in furtherance of the license of Grantback IP pursuant to Section 14.4.3 (Intellectual Property License to Takeda), Neurocrine will, for a period of [***] from the effective date of such termination, provide a reasonable amount of consultation or other assistance, as Takeda may reasonably request to assist Takeda in becoming familiar with such Grantback IP in order for Takeda to undertake further Exploitation of the Terminated Products in the Terminated Territory. Neurocrine will provide assistance and the Parties will bear costs of such assistance as set forth in Section 14.4.7(b) (Assignment and Disclosure).
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.4 (Assignment and Disclosure), Partner will, for a period of [***] from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as ImmunoGen may reasonably request to assist ImmunoGen in becoming familiar with such Know-How in order for ImmunoGen to undertake further Exploitation of each Licensed Product at ImmunoGen’s cost and expense at Partner’s FTE Rate.
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 13.3.5 (Assignment and Disclosure), Partner will, for a period of [*] from the effective date of termination of this Agreement, provide such consultation or other assistance as uniQure may reasonably request to assist uniQure in becoming familiar with such Know-How in order for uniQure to undertake further Exploitation of the Existing Product, at uniQure’s cost and expense; provided that if the Agreement is terminated by Partner for any reason other than pursuant to Section 13.2.2 (Termination for Cause), then Partner will provide [*].
Know-How Transfer Support. In furtherance of the assignment of Know-How pursuant to Section 15.3.2(c) (Assignment and Disclosure), Licensee will, for a period of [***] months from the effective date of termination of this Agreement, provide such reasonable consultation or other reasonable assistance as Licensor may reasonably request to assist Licensor in becoming familiar with such Know-How in order for Licensor to undertake further Exploitation of each Licensed Product. Such assistance with be at Licensee’s sole cost and expense. 15.3.5
