Knowledge Capital Sample Clauses

Knowledge Capital. Nothing in this Agreement will preclude Accenture from acquiring, marketing, developing, distributing, licensing or using for itself or others, services, products or technology that are the same as or similar to those provided to Client by Accenture pursuant to this Agreement. Furthermore, Accenture will continue to be free to use the general knowledge, skills and experience and any ideas, concepts, know-how and techniques that are acquired or used in the course of providing the Services. This Section 14.7 will not diminish Accenture’s obligations regarding Confidential Information under Section 13.1.

Knowledge Capital. CultureIQ shall retain all right, title and interest in all of CultureIQ’s ideas, know-how, approaches, methodologies, concepts, skills, tools, techniques, expressions, and processes, irrespective of whether possessed by CultureIQ prior to, or acquired, developed, or refined by CultureIQ (either independently or in concert with Client but excluding Client’s proprietary ideas, know-how, approaches, methodologies, concepts, skills, tools, techniques, expressions, and processes identified in writing in advance to CultureIQ) during the course of its performance under this Agreement. It is agreed and understood that CultureIQ is in the business of providing services to third parties which are or may be substantially similar to the Customized Deliverables being developed for Client. It is not the intent of this Agreement to prevent CultureIQ from pursuing its stated business by independently creating such original but similar works for the benefit of third parties.

Knowledge Capital. Regardless of how Work Product is characterized and subject to each party's confidentiality obligations pursuant to Section 7, each party shall have and retain all rights and interests in all information in non-tangible form, which may be retained by persons (in their memories) who may have access to the Work Product, including their ideas, concepts, know-how, techniques, skills, and processes, irrespective of whether possessed by the parties prior to, or refined during the course of an engagement under this Alliance Agreement (collectively referred to as "Knowledge Capital").

Knowledge Capital. Subject to the provisions in this Article 9 and ----------------- applicable Law, either Party is free to market, develop or use, for itself or others, services or products that are the same as or similar to those used or provided to pursuant to this Agreement. Furthermore, both Parties will continue to be free to use their general knowledge, skills and experience and any ideas, concepts, know-how and techniques that are acquired or used in the course of providing the Services or their other business OPERATIONS. Company reserves the right to access and use any materials, programs or other Developed Intellectual Property that is necessary for Company to administer the Products after the Transition Period. Fidelity reserves the right to use any materials, programs or other Developed Intellectual Property necessary for Fidelity to administer products other than the Product.

Knowledge Capital. Subject to the Parties’ obligations under Section 6 hereof, nothing in this Agreement will preclude either Party from acquiring, marketing, developing, distributing, licensing or using for itself or others, services, products or technology that are the same as or similar to those provided to the other Party by such Party pursuant to this Agreement. Furthermore, each Party will continue to be free to use the general knowledge, skills and experience and any ideas, concepts, know-how and techniques that are acquired or used in the course of providing or receiving the Services.

Knowledge Capital. Nothing in this Agreement will preclude Service Provider from marketing, developing or using for itself or others, services or products that are the same as or similar to those provided to Company or its Affiliates by Service Provider pursuant to this Agreement, as long as such services or products do not include any Company Software, Company Confidential Information, Company Data, Work Product, Intellectual Property Rights of Company, or any other proprietary information belonging to Company. Each party will continue to be free to use its general knowledge, skills and experience, and to use and disclose any generalized ideas, concepts, know-how, and techniques that are acquired or used during the course of the Agreement, so long as they acquire and apply such information without the use or disclosure or any confidential or proprietary information belonging to the other party. This Section 10.3 will not diminish either party’s obligations regarding Confidential Information under Article IX.

Knowledge Capital. Nothing in the Agreement will preclude CognitiveScale from marketing, developing or using for itself or others, services, technology, or products that are the same as or similar to those configured or created for You pursuant to the Agreement. CognitiveScale will continue to be free to use and will retain its general knowledge, skills and experience and any ideas, concepts, know-how and techniques that are acquired or used in the course of providing the Product under the Agreement.

Knowledge Capital. Active Cyber shall retain all right, title and interest in all of Active Cyber 's ideas, know-how, approaches, methodologies, concepts, skills, tools, techniques, expressions, processes, including internally-developed software, and any patent, copyright, trademark, trade secret or other intellectual property rights with respect thereto (collectively referred to as "Knowledge Capital"), irrespective of whether possessed by Active Cyber prior to, or acquired, developed, or refined by Active Cyber (either independently or in concert with Customer but excluding Customer's ideas, know-how, approaches, methodologies, concepts, skills, tools, techniques, expressions, processes, Confidential Information and Trade Secrets) during the course of its performance under this Services Agreement. It is agreed and understood that Active Cyber is in the business of providing consulting service to third parties which are or may be substantially similar to the services and/or other Deliverables being developed for Customer. It is not the intent of this Services Agreement to prevent Active Cyber from pursuing its stated business by independently creating such original but similar works for the benefit of third parties.

Knowledge Capital. ▇▇▇▇▇▇▇.▇▇▇ shall not be precluded from independently developing or using for itself, or for others or licensing others to use, anything, whether in tangible or non-tangible form, which is competitive with, or similar to, the deliverables, except as set forth in Exhibit A, Paragraph 9.2 (“Exclusivity for Comcast”). ▇▇▇▇▇▇▇.▇▇▇ will be free to use the general knowledge, skills and experience and any Intellectual Property Rights, ideas, concepts, know-how and generic techniques that are developed by ▇▇▇▇▇▇▇.▇▇▇ in the course of providing the Services without use of Comcast’s Confidential Information or Comcast Proprietary Items. Nothing in this Paragraph shall diminish ▇▇▇▇▇▇▇.▇▇▇’s obligations regarding Comcast’s Confidential Information, grant ▇▇▇▇▇▇▇.▇▇▇ the right or license to utilize Comcast Proprietary Items, or otherwise limit any restrictions on ▇▇▇▇▇▇▇.▇▇▇’s ability to perform services for third parties specified in this Agreement or any Program Description hereto.
