Common use of Landlord’s Obligation Clause in Contracts

Landlord’s Obligation. Landlord shall indemnify, defend and hold harmless Tenant, its officers, partners, agents, and employees from and against any claims, damages, costs, expenses, or liabilities (collectively “Claims”) arising out of or in any way connected with this Lease including, without limitation, Claims for loss or damage to any property, or for death or injury to any person or persons, but only in proportion to and to the extent that such Claims arise from the negligent or wrongful acts or omissions of Landlord, its officers, agents, or employees.

Landlord shall indemnifyhold harmless, indemnify and defend and hold harmless Tenant, and its partners, officers, partnersdirectors, agentsshareholders, independent contractors, attorneys, employees and employees from and agents against any all claims, damagesdemands and action for loss, costsliability, expensesdamage, cost and expense (including attorney's fees) resulting from injury or liabilities (collectively “Claims”) arising out of or in any way connected with this Lease including, without limitation, Claims for loss or damage to any property, or for death or injury to any person and damage to property caused by the intentional wrongful act or persons, but only in proportion to and to the extent that such Claims arise from the negligent or wrongful acts or omissions omission of Landlord, its officers, employees and agents, while in, upon or employeesconnected in any way with the Premises or the Project during the term of this Lease or any occupancy hereunder.
