Late acceptance and non-acceptance. 5.1.1 If Buyer fails or refuses to accept a delivery of the Goods or any part thereof within the applicable laytime; provided that such Goods have been delivered in accordance with the Contract, without prejudice to Seller’s other rights under the Contract or applicable law, Seller may either (a) pass the Goods to an appropriate local logistics and/or storage company at Buyer’s risk and expense of which Buyer shall be notified within a reasonable time; or
