Each party irrevocably submits to the personal jurisdiction and venue of, and agrees to services of process issued or authorized by, such courts, and waives any objection thereto. The prevailing party in any action arising from or relating to this Agreement may recover from the other party its costs and expenses, including reasonable attorneys’ fees, incurred in that action, in addition to any other relief it may receive. Except as set forth herein, the parties’ rights and remedies are cumulative. The parties agree that injunctive relief (without bond) is an appropriate remedy for threatened breaches of Section 1. License Grant; and Restriction; and Section 5. Proprietary Rights, which will constitute immediate, irreparable harm.

The rights and obligations of Buyer and Seller under this agreement shall not be governed by the provisions of the United Nations Convention on Contracts for the International Sale of Goods (1980). Law; Disputes. 1. All legal relations between the Parties arising in connection with and based on the signed Purchase Contracts and these General Terms and Conditions (Purchasing) shall be governed by the law of the Czech Republic, with the exclusion of the Vienna Convention on the purchase contracts of 1980.
Law; Disputes. 18.1 If there is any dispute in respect of this Agreement the parties shall first attempt to reach in good faith a negotiated settlement of the issue by means of internal escalation within their organisations.

First, direct negotiation between senior executives, secondly, if this does not resolve the matter, the dispute can be referred to mediation. Only after these processes can a dispute be referred to the courts.
