Law; Disputes. This Agreement will be governed by and construed in accordance with the laws of the State of California without giving effect to conflict of laws principles that would require the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act will not apply to this Agreement. The parties agree that any action or proceeding arising from or relating to this Agreement must be brought exclusively in a court of competent jurisdiction, federal or state, located in Santa Xxxxx County, California, and in no other jurisdiction. Each party irrevocably submits to the personal jurisdiction and venue of, and agrees to services of process issued or authorized by, such courts, and waives any objection thereto. The prevailing party in any action arising from or relating to this Agreement may recover from the other party its costs and expenses, including reasonable attorneys’ fees, incurred in that action, in addition to any other relief it may receive. Except as set forth herein, the parties’ rights and remedies are cumulative. The parties agree that injunctive relief (without bond) is an appropriate remedy for threatened breaches of Section 1. License Grant; and Restriction; and Section 5. Proprietary Rights, which will constitute immediate, irreparable harm.
Law; Disputes. This agreement shall be governed by and construed in accordance with the Uniform Commercial Code and other laws of the State of Delaware without regard to principles of conflict of laws. The rights and obligations of Buyer and Seller under this agreement shall not be governed by the provisions of the United Nations Convention on Contracts for the International Sale of Goods (1980). Each of Buyer and Seller irrevocably (i) agrees that any suit, action or other legal proceeding arising out of this sale may be brought only in the state or federal courts located in King County, Delaware, (ii) consents to the personal jurisdiction of each such court in any such suit, action or legal proceeding and (iii) waives any objection to the laying of venue of any such suit, action or proceeding in any of such courts, and any claim as to inconvenient forum. Buyer and Seller appoints the Secretary of State of Delaware as its agent for service of process. This agreement obligations hereunder, shall not be assignable or transferable by Buyer or Seller without the prior written consent of an authorized representative of the other party; provided that either party may assign this agreement without such consent to: (a) an affiliate; or (b) a successor-in-interest in connection with a change of control (whether by merger, sale of stock or assets, consolidation, or otherwise). Any attempted assignment or transfer without such consent shall be null and void.
Law; Disputes. This Agreement shall be governed by and construed exclusively in accordance with German Law. Exclusive venue shall be the courts in Singen.
Law; Disputes. 18.1 If there is any dispute in respect of this Agreement the parties shall first attempt to reach in good faith a negotiated settlement of the issue by means of internal escalation within their organisations.
18.2 If a matter has not been resolved internally within 15 business days of a dispute being raised then either party may request that the matter is resolved through binding mediation using the services of the Centre for Effective Dispute Resolution to facilitate the mediation process. If the dispute is not resolved through negotiation or mediation the dispute may be resolved in the courts under clause 18.3.
18.3 This Agreement and any disputes arising in relation to it shall be construed in accordance with the laws of England and subject to the non-exclusive jurisdiction of the courts of England.

Any action or proceeding arising from or relating to this Agreement must be brought exclusively in a court of competent jurisdiction, federal or state, located in Suffolk County, Massachusetts, and in no other jurisdiction. Each party irrevocably submits to the personal jurisdiction and venue of, and agrees to services of process issued or authorized by, such
Law; Disputes. 16.1 This Agreement shall be subject to the Laws of the Commonwealth of Massachusetts, without giving effect to the choice of law rules thereof. Any disputes which the Parties cannot settle amicably shall be subject to arbitration in accordance with ICC Rules of Conciliation and Arbitration. The place of arbitration shall be Delaware, USA, the language of arbitration shall be English and the arbitration award shall be final and binding on the Parties.
Law; Disputes. If a dispute occurs, this clause has a three- stage process for dealing with the problem. First, direct negotiation between senior executives, secondly, if this does not resolve the matter, the dispute can be referred to mediation. Only after these processes can a dispute be referred to the courts.
Law; Disputes. 19.1 The Agreement shall be governed by and construed in accordance with the laws of England and Wales.
19.2 All disputes and differences that may arise out of or in connection with the Agreement will be settled as far as possible by means of negotiations and conciliation between the Parties.
19.3 In case of failure to reach an amicable settlement, any dispute, controversy or claim arising out of or in any way connected with this Agreement including any question regarding its existence, validity or termination shall be conclusively resolved by arbitration in London under the Rules of the London Court of International Arbitration (LCIA) which Rules are deemed to be incorporated by reference into this Clause.

Each of Buyer and Seller irrevocably (i) agrees that any suit, action or other legal proceeding arising out of this sale may be brought only in the state or federal courts located in the State of Iowa, (ii) consents to the personal jurisdiction of each such court in any such suit, action or legal proceeding and (iii) waives any objection to the laying of venue of any such suit, action or proceeding in any of such courts, and any claim as to inconvenient forum. Buyer appoints the Secretary of State of Iowa as its agent for service of process. This agreement shall bind the parties and their respective successors and assigns. This agreement or any rights or obligations hereunder, shall not be assignable or transferable by Buyer without the prior written consent of an authorized representative of Seller; any attempted assignment or transfer without such consent shall be null and void.
