This Agreement shall be governed by and con- strued in accordance with the laws of the State of Delaware and the Company, the Trustees and the Certif- icate Holders, by their acceptance of the Certificates issued hereunder, consent and agree that this Agree- ment shall be governed by and construed in accordance with the said laws.
