Lease Equipment. Telephone system in North Branch, New Jersey Commencement 6/6/94; term 60 months; monthly rental payment $1,022.30 Additional payment of $61.09 per month for 800 GS/LS Module

Lease Equipment. To lease the Equipment from us for the Lease Term on the terms set out in this Agreement.

Lease Equipment. 1.1 The Lessor agrees to lease, and the Lessee agrees to rent, the Equipment. 1.2 The Lessee shall have an irrevocable and exclusive right to use the Equipment for the purposes as it desires. The Lessee shall be entitled to sub-lease, lend, or grant any encumbrance over the Equipment, including but not limited to mortgage, pledge, lien and etc. 1.3 The Lessor and the Lessee agree to, and the Lessor agrees to cause the Target Employees, the IGC Employees and the IGC Holders to, enter into the following ancillary documents (the “Ancillary Documents”): (a) an exclusive option agreement in the form and substance attached hereto as Appendix II (the “Exclusive Option Agreement”), pursuant to which the Lessor shall agree to grant an option to the Lessee for the purchase of the Equipment; (b) a technology license agreement in the form and substance attached hereto as Appendix III (the “Technology License Agreement”), pursuant to which the Lessor shall agree to grant an exclusive license to the Lessee for the use, making and selling of its products, namely LCDTV 8CH + Boost LED BLU Driver and LCDTV TCON Bias PMIC (collectively, the “Target Products”), including but not limited to the right to all the patent and intellectual properties associated with such Target Products; (c) a mutual termination and transfer agreement in the form and substance attached hereto as Appendix VII (the “Mutual Termination and Transfer Agreement”); (d) a share agreement in the form and substance attached hereto as Appendix VIII (the “Share Agreement”); (e) a trust deed in the form and substance attached hereto as Appendix IX (the “Trust Deed”); (f) a confidentiality and invention assignment agreement in the form and substance attached hereto as Appendix X (the “Confidentiality and Invention Assignment Agreement”); and (g) any other documents, including but not limited to the exhibits and schedules attached thereto the Ancillary Documents.

Lease Equipment. For the FVS equipment specifically identified as Locker Lease units, the parties understand that the Customer may only utilize the check in and checkout features of the Locker unit for non-MRO goods not distributed by Fastenal.

Lease Equipment. (a) Pursuant to Section 1.1 of the Master Lease, Lessee and Lessor hereby agree as follows: i) all of the provisions of the Master Lease are incorporated herein by reference and capitalized terms used herein and not defined herein shall have the meanings ascribed to such terms in the Master Lease; ii) to the extent the provisions of the Master Lease conflict with the provisions of this Schedule, the provisions of this Schedule shall control; and iii) this Schedule, incorporating the terms and conditions of the Master Lease and all of the exhibits, orders and attachments thereto and hereto, constitute a separate Lease with respect to the Equipment covered hereby; and that, although STLC is referenced in the Master Lease as the original Lessor, the Lessor named above (and its successors and assigns) shall be the Lessor under the Lease created hereby, and under all of the Lease Documents relating to the “Equipment” leased pursuant hereto (as described in subsection 1(b) below). (b) Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor the equipment and other property described in the attached Exhibit A (together with all accessories, attachments, parts, repairs, additions, upgrades and accessions thereto and all replacements and substitutions therefor, the “Equipment”), which is incorporated herein by this reference. The aggregate original equipment cost (the “Original Equipment Cost”) for all of the Equipment is [$___________]. The Original Equipment Cost for each item of Equipment is as specified in the attached Exhibit A.

Lease Equipment. Notwithstanding anything to the contrary herein, neither Textron nor any of its Affiliates shall be in breach of any provision of this Agreement on account of Textron's or its Affiliate's (i) Use, solely outside the Automotive Products Field, or (ii) lease, license, sale or other transfer to any third party (in each case, whether or not in the Automotive Products Field or the Restricted Field) of all or any part of Textron's or its Affiliate's right, title or interest in or to any Equipment (as defined in any lease contemplated by the Equipment Lease Term Sheet), provided that the leases contemplated by the Equipment Lease Term Sheet are terminated or otherwise cease to be in effect for any reason and Textron or any of its Affiliates continue to own any interest in the Equipment. In addition, solely in the event that such leases are terminated due to a Default (as such term is defined in any such lease) by C&A Products or a Subsidiary of C&A Products, Textron and its Affiliates shall be entitled to Use the Equipment within the Automotive Products Field.

Lease Equipment. If customer accepts to lease Equipment with our services instead of buying Equipment, upon cancellation your Service that is subject to a Fixed Term prior to its expiration date, or if we cancel for cause your Service that is subject to a Fixed Term, then you must pay the cancellation charge set out in Schedule A (“Cancellation Charge”), plus applicable taxes. The Cancellation Charge is not a penalty; it is an estimated damage on installed Equipment before the end of its term or useful life as a result of your early cancellation of the Services. Customer has the possibility to buy Equipment from us for the fair market value of the Equipment, determined by Telephonica and Manufacturer's Suggested Retail Price (MSRP).
