Legal Form. (a) To ensure the legality, validity, enforceability or admissibility in evidence of this Agreement and each other Financing Document in Argentina, it is not necessary that (i) this Agreement or any other Financing Document be filed or recorded with any Governmental Authority in Argentina, or (ii) that any stamp or similar tax be paid on or in respect of this Agreement or any other document to be furnished under this Agreement, unless such stamp or similar taxes have been paid by the Borrower. (b) Each Promissory Note complies with all the requirements set forth under Argentine law to qualify as a xxxxxx a la vista sin protesto and shall entitle the holder thereof to commence a commercial executory proceeding (acción ejecutiva) against the Borrower in the Argentine competent courts.
