Legal, Valid, Binding and Enforceable. An opinion in respect of each party to the Operative Documents and this Agreement that each such document to which it is a party has been duly authorized, executed and delivered and constitutes the valid and legally binding obligation of each party, enforceable in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors' rights and to general equity principles.
