Liability Several. The rights, duties, obligations and liabilities of the Members under the Certificate of Formation and this Agreement shall be several and not joint or collective. Each Member shall be responsible only for its obligations as set out in the Certificate of Formation and in this Agreement and shall be liable only for its share of costs and expenses as provided herein. Each Parent shall be liable only for its obligations as a Parent as set out in this Agreement.
Liability Several. Except as otherwise provided herein, the rights, duties, obligations and liabilities of the Shareholders under the Company’s constating documents and this Agreement shall be several and not joint or collective. Except as otherwise provided herein or in the Transaction Documents, each Shareholder shall be responsible only for its obligations as set out in the Company’s constating documents, in this Agreement and in the Transaction Documents and shall be liable only for its share of costs and expenses as provided herein.
Liability Several. The liability of the Banks is several. No party to this Agreement shall be responsible for the obligations of any other party. The failure of a Bank to perform its obligations shall not release any other party from its obligations.
Liability Several. The obligation of the Venturers under this Agreement to one another shall be in every case several and shall not be, or construed to be, either joint or joint and several .
