Common use of LICENCES GRANTED BY THE AUTHORITY Clause in Contracts

LICENCES GRANTED BY THE AUTHORITY. 22.1 The Authority hereby grants to the Operator a royalty-free, non-exclusive, non-transferable licence during the Term to use: 22.1.1 the Authority Software; 22.1.2 the Database; 22.1.3 the Authority's documentation, processes and procedures and Know How. 22.1.4 the Specially Written Software from the date the relevant rights are transferred to the Authority in accordance with Clause 24.2; 22.1.5 the Project Specific IPRs from the date the relevant rights are transferred to the Authority in accordance with Clause 24.2; and 22.1.6 the Authority Data. 22.2 The licence granted in Clause 22.1: 22.2.1 includes the right to grant sub-licences to Sub-Contractors provided that any relevant Sub- Contractor has entered into a confidentiality undertaking with the Operator on the same terms as set out in Clause 32 (Confidentiality); and 22.2.2 is granted solely to the extent necessary for performing the Services in accordance with this Agreement. The Operator shall not, and shall procure that the Sub-Contractors do not, use the licensed materials for any other purpose or for the benefit of any person other than the Authority. 22.3 Neither party shall have any right to use any of the other party's names, logos or trade marks on any of its products or services without the other party's prior written consent. 22.4 In the event of the termination or expiry of this Agreement, the licence referred to in Clause 22.1, any sub-licence granted in accordance with Clause 22.2.1 and any licence granted in accordance with Clause 22.3 shall terminate automatically (subject to any requirement to continue to provide the Services under the Exit Plan) and the Operator shall deliver to the Authority all material licensed to the Operator pursuant to Clause 22.1 or Clause 22.3 in the Operator's possession or control.

LICENCES GRANTED BY THE AUTHORITY. 22.1 21.1 The Authority Customer hereby grants to the Operator Supplier a royalty-free, non-non- exclusive, non-transferable licence during the Term to use: 22.1.1 the Authority 21.1.1 Customer Software; 22.1.2 the Database; 22.1.3 the Authority21.1.2 Customer's documentation, standards, processes and procedures and Know How. 22.1.4 the Specially Written Software from the date the relevant rights are transferred to the Authority in accordance with Clause 24.2procedures; 22.1.5 the Project Specific IPRs from the date the relevant rights are transferred to the Authority in accordance with Clause 24.2; and 22.1.6 the Authority Data. 22.2 21.1.3 Customer Data 21.1.4 Customer Databases 21.2 The licence granted in Clause 22.121.1 above: 22.2.1 21.2.1 includes the right to grant sub-licences to Sub-Contractors contractors provided that any relevant Sub- Contractor Sub-contractor has entered into a confidentiality undertaking acceptable to the Customer with the Operator on the same terms as set out in Clause 32 (Confidentiality)Supplier; and 22.2.2 21.2.2 is granted solely to the extent necessary for performing the Services in accordance with this the Service Agreement. The Operator the Supplier shall not, and shall procure that the Sub-Contractors contractors do not, use the licensed materials for any other purpose or for the benefit of any person or undertaking other than the AuthorityCustomer. 22.3 21.3 Neither party shall have any right to use any of the other party's names, logos or trade marks on any of its products or services without the other party's prior written consent. 22.4 21.4 In the event of the termination or expiry of the relevant Service Agreement(s) or this Framework Agreement, the licence referred to in Clause 22.121.1, any sub-licence granted in accordance with Clause 22.2.1 and any licence granted in accordance with Clause 22.3 21.2.1 shall terminate automatically (subject to any requirement to continue to provide the Services under the Exit Plan) and the Operator Supplier shall deliver to the Authority Customer all material licensed to the Operator Supplier pursuant to Clause 22.1 21.1 or Clause 22.3 21.2.1 in the OperatorSupplier's possession or control.
