License to Customer. Vendor grants to Customer, a perpetual, irrevocable, royalty free license, solely for the Customer’s internal business purposes, to use, copy, modify, display, perform (by any means), transmit and prepare derivative works of any Vendor IP embodied in or delivered to Customer in conjunction with the Work Product. The foregoing license includes the right to sublicense third parties, solely for the purpose of engaging such third parties to assist or carryout Customer’s internal business use of the Work Product. Except for the preceding license, all rights in Vendor IP remain in Vendor.
License to Customer. Subject to Customer’s payment of the applicable Fees, Tricentis hereby grants Customer a worldwide, non-exclusive, revocable, non-sublicensable, non- transferable, license to use the Deliverables.
License to Customer. Subject to the terms of this Agreement, Verkada grants Customer a royalty-free, nonexclusive, transferable (subject to Section 12) worldwide right during each License Term to use the Software, subject to the terms of this Agreement (“License”). Customer must purchase Licenses to use the Software for at least the number and type of Hardware units it manages with the Software, however Customer may authorize an unlimited number of Users to access and use the Software. If Customer purchases additional Licenses, either in connection with the purchase of additional Hardware units or renewal of Licenses for existing Hardware units, the overall License Term will be modified such that the License Term for all Licenses purchased will terminate on the same date. The Products are not intended to be used as part of any life-saving or emergency systems, and Customer will not use the Products in any such environment. If Customer purchases the Monitoring Services (as defined on Exhibit B, the “Monitoring Services Addendum”), the use of the Products in connection with the Monitoring Services will be subject to the terms of the Monitoring Services Addendum. License to Verkada. During the License Term, Customer will transfer Customer Data to Verkada while using the Products. Customer grants Verkada a non-exclusive right and license to use, reproduce, modify, store, and process Customer Data solely to develop and maintain the Products and provide them to Customer. Customer represents and warrants that it possesses the necessary rights and authority to grant Verkada the rights set forth in this Section 2.2 with respect to Customer Data. Restrictions. Customer will not: (i) use (or allow a third party to use) the Products in order to monitor their availability, security, performance, or functionality, or for any other benchmarking or competitive purposes (other than for routine product comparison purposes) without Verkada’s express written consent; (ii) market, sublicense, resell, lease, loan, transfer, or otherwise commercially exploit the Products; (iii) modify, create derivative works, decompile, reverse engineer, attempt to gain access to the source code, or copy the Products or any of their components; or (iv) use the Products to conduct any fraudulent, malicious, or illegal activities or otherwise in contravention of any applicable laws or regulations (each of (i) through (iv), a “Prohibited Use”).
License to Customer. Subject to the terms and conditions of this Agreement, Company grants to Customer a non-exclusive, non-transferable, non-sublicensable (except with respect to User Sublicenses), revocable license during the Term for Customer to access and use the Licensed Materials solely for Customer’s internal business purposes to access and use the Licensed Materials during the Term pursuant to the Software Terms of Use located at xxxxxx0000.xxx. All rights with respect to the Licensed Materials not explicitly granted herein are reserved to Company.
License to Customer. (1) Necho hereby grants to Customer a perpetual, non-exclusive and non-assignable (except as permitted in Sections 18 and 19) license to do each of the following:
(a) copy the Licensed Standard Software onto memory storage facility incorporated in the Designated Hardware;
(b) copy onto and use the Licensed Standard Software on any of the central processing units comprising any part of the Designated Hardware provided that all portions of the Designated Hardware are located within the geographic boundaries listed in Schedule A (the "Designated Location") and further provided that, except by users of devices specifically included in Designated Hardware and by Clients as provided in Section 19, the Designated Hardware is not capable of being operated other than through the input devices each of which is directly connected to the Designated Hardware and is located in the Designated Location; and
(c) make one copy of the Licensed Standard Software for archival purposes provided that in so doing no legend, trademark, trade name, or copyright notice contained in the Licensed Standard Software is deleted.
(2) Customer shall not copy (except as permitted by Section 3(1)), modify, alter, disassemble, decompile, translate or convert into human readable form, or reverse engineer, all or any part of the Licensed Standard Software and shall not use the Licensed Standard Software, or Documentation to develop any derivative works or any functionally compatible or competitive software. Customer shall not have the right, and agrees not to copy or reproduce the Documentation.
(3) The license granted pursuant to this Agreement is restricted to the Designated Hardware as long as it is located in the Designated Location. If the Designated Hardware becomes inoperative, another item of hardware may be substituted thereof on a temporary basis provided that Customer gives notice to Necho, as soon as practicable after the substitution, indicating the identity of the substituted hardware and the date of the substitution, and the other conditions set out in Section 3(1)(b) are satisfied; the extension of the license to the substituted hardware shall cease 10 days after the date of substitution unless Necho consents in writing to a permanent substitution. Necho agrees not to unreasonably withhold or delay such consent and agrees that such consent shall be without additional fees for comparable equipment. License to Customer. Subject to the restrictions and limitations set forth in this Section and elsewhere in this Agreement, Vendor hereby grants to Customer a nonexclusive, nontransferable, limited license, during the Term, to enable Authorized Users to access and use the Services through the Customer Interface subject and according to the terms of this Agreement solely for the Authorized Users’ internal use in the regular course of Customer’s operations.
License to Customer. Subject to the terms and conditions of these Terms, Viber hereby grants Customer a non-exclusive, non- transferrable, non-sub-licensable and fully revocable limited license to use the Viber Properties only in accordance with these Terms and for the duration of the Term set forth on the IO.
License to Customer. 2.1 Cradlepoint agrees to grant Customer a non‐exclusive, non‐transferable, limited right to access the Location Services, solely for Customer’s own business purposes, provided that Customer comply fully with all of the provisions of the Agreement. Cradlepoint grants Customer the right to use the Location Services solely in conjunction with the use of Customer’s Registered Devices. All rights not expressly granted to Customer in the Agreement are reserved by Cradlepoint.
License to Customer. If Open-Silicon incorporates any [***] (including any technology provided by IP Providers) in any [***], Open-Silicon hereby grants, under any of Open-Silicon’s [***] therein (including rights licensed to Open-Silicon from IP Providers), to Customer [***] to (a) [***], and to [***] any products or services; and (b) [***] such [***].
License to Customer. ORGANIC hereby grants CUSTOMER a non-exclusive, perpetual, royalty free, fully paid, non-transferable (except in accordance with this Agreement) license throughout the universe to use, copy, modify, adapt, translate, create derivative works based upon the licensed materials, reproduce, distribute, publicly perform, publicly display, and digitally perform [*].
