Licensee and Licensee Clause Samples

Licensee and Licensee. Affiliates shall keep and maintain complete, accurate, and detailed books and records in paper and electronic format for all Licensed Products (all such books and records collectively referred to as “Necessary Records”). Necessary Records include, but are not limited to, all books and records related to: (i) the organization chart showing the relationship of Licensee with all Licensee Affiliates; and (ii) all purchases, stocks, deliveries, Manufacture, and Sale of all products, as well as technical specifications of all Licensed Products. Necessary Records pertaining to a particular royalty reporting period, including Necessary Records relating to the Manufacture, use, import, offer for Sale, Sale, or other disposition of any products prior to the Effective Date, shall be maintained for five (5) years from the date on which a royalty is paid or should have been paid, whichever is later.

Licensee and Licensee. Affiliates shall keep and maintain accurate and detailed books and records in paper and electronic form including, but not limited to, all books and records showing the relationship of Licensee and all Licensee Affiliates and all production, purchases, stocks, deliveries, technical specifications of all Wi-Fi 6 Products, and sales records related to Wi-Fi 6 Products (all books and records collectively referred to as “Necessary Records”). Necessary Records pertaining to a particular royalty reporting period, including Necessary Records relating to the Making and/or Selling of any Wi-Fi 6 Products, shall be maintained for five (5) years after the expiration of the Term.

Licensee and Licensee s Franchisees shall maintain the Kiosk and keep the Kiosk clean, hazard free, and safe for customers and associates.

Licensee and Licensee s Personnel shall not permit the operation of any musical or sound-producing instruments or device which may be heard outside the Dedicated Space, or which may emanate electrical waves or x-rays or other emissions which will be hazardous to health, well- being or condition of persons or property.

Licensee and Licensee s employees shall maintain a neat and appropriate appearance and dress, fully comply with the Shopping Center’s Code of Conduct, and are expected to operate in a dignified, ethical, manner.

Licensee and Licensee s Franchisees shall procure and maintain during the Initial Term and any renewal term of this Agreement, at no expense to Retailer, the following insurance coverage: (1) Worker’s Compensation insurance with statutory limits, or if no statutory limits exist, with minimum limits of five hundred thousand dollars ($500,000) per occurrence, and Employer’s Liability coverage with minimum limits of ($500,000), for each employee for bodily injury by accident and for each employee for bodily injury by disease. Licensee and Licensee’s Franchisees shall cause Insurer (as defined below) to issue an endorsement providing stopgap insurance in monopolistic states in which a Kiosk may be located. (2) Commercial General Liability insurance with a two million dollar ($2,000,000) minimum limit per occurrence for each Store in which a Kiosk is located or with per location aggregate limits for each Store in which a Kiosk is located. This Commercial General Liability policy may not contain an exclusion for contractual liability assumed by Licensee in this Agreement unless such coverage is provided by a separate policy with minimum limits equal to the Commercial General Liability insurance limits designated in the preceding sentence.

Licensee and Licensee s use of the Property shall be subject to any policies, rules, and regulations that the University may promulgate from time to time, including those stated in any publication promulgated by the University. Unless specified above, Licensee's use of the Facilities is non-exclusive as to the University, which retains the right freely to enter the Property at any time for any purpose.

Licensee and Licensee s employees shall not park their cars in those portions of the parking area designated for customer parking by Licensor. If Licensee or Licensee’s employees’ park in portions of the parking area designated for customer parking, Licensor may, in addition to its other remedies, have such cars removed at Licensee’s expense.
