Licensee Qualifications Clause Samples

Licensee Qualifications. To Buyer's knowledge, there is no fact that would, under the Communications Act of 1934, as amended, and the rules and regulations of the FCC, each as in effect on the date of this Agreement, disqualify Buyer from being the licensee of the Station other than Buyer's or its Affiliate's interest in the television station described on Schedule 4.3. Buyer has sufficient net liquid assets on hand or available from committed sources to consummate the transactions contemplated by this Agreement and to operate the Station for three (3) months after Closing and is otherwise financially qualified under the Communications Act of 1934, as amended, and the rules and regulations of the FCC, each as in effect on the date of this Agreement, to be the licensee of the Station.

Licensee Qualifications. To the Knowledge of Buyer there is no fact that would, under the rules and regulations of the Commission, disqualify Buyer from being the transferee of the Shares or the owner and operator of the Stations. Should Buyer become aware of any such fact, it will so inform Company, and Buyer will use commercially reasonable efforts to remove any such disqualification. Buyer will not take any action that Buyer knows, or has reason to believe, would result in such disqualification.

Licensee Qualifications. To Buyer's knowledge, there is no fact that would, under the Communications Act of 1934, as amended, and the rules and regulations of the FCC, each as in effect on the date of this Agreement, disqualify Buyer from being the licensee of any Station. Buyer has sufficient net liquid assets on hand or available from committed sources to consummate the transactions contemplated by this Agreement and to operate the Stations for three (3) months after Closing and is otherwise financially qualified under the Communications Act of 1934, as amended, and the rules and regulations of the FCC, each as in effect on the date of this Agreement, to be the licensee of the Stations.

Licensee Qualifications. To the best of Buyer's knowledge, there will be no fact that would, under present law (including the Communications Act of 1934, as amended) and the present rules and regulations of the Commission, disqualify Buyer from being the assignee of the Stations Licenses or the owner and operator of the Stations. Buyer will not take any action that Buyer knows, or has reason to believe, would result in such disqualification. Should Buyer become aware of any such fact, it will so inform Seller and will use its best efforts to remove any such disqualification.

Licensee Qualifications. To the Knowledge of Buyer, there is no existing fact that would, under the current published and written policies, rules and regulations of the Commission or any other federal agency, disqualify Buyer from being the assignee of the FCC Licenses or the owner and operator of the Stations. Should Buyer become aware of any such fact, it will so inform Seller, and Buyer will use commercially reasonable efforts to remove any such disqualification. If such commercially reasonable efforts by Buyer are unsuccessful, Seller shall have the right in accordance with the terms hereof to terminate this Agreement.

Licensee Qualifications. Except as set forth on Schedule 7.3 hereto, there is no fact that would, under the Communications Act of 1934, as amended, and the rules, regulations and policies of the FCC, each as in effect on the date of this Agreement, disqualify Purchaser from holding the FCC Licenses. Purchaser has sufficient net liquid assets on hand or available from committed sources to consummate the transactions contemplated by this Agreement and to operate the Stations for three (3) months after Closing and is otherwise financially qualified under the Communications Act of 1934, as amended, and the rules, regulations and policies of the FCC, each as in effect on the date of this Agreement, to be the holder of the FCC Licenses.

Licensee Qualifications. Any active License is dependent upon the current and satisfactory status of Licensee as a ▇▇▇▇ Authorized Dealer. Dealer status provisions are outlined in the ▇▇▇▇ Authorized Dealer Agreement, ▇▇▇▇ Terms and Conditions Policy, and ▇▇▇▇ Minimum Advertised Price Policy, all available upon request.

Licensee Qualifications. Buyer represents that it is, and at the Closing it shall be, legally and financially qualified under rules, regulations and policies established by the Commission to become a licensee of Station.
