Licensee Warranties. Licensee represents, warrants and agrees that:
(a) It is not in default of its FXTrade Customer Agreement;
(b) Its operation of its business, if any, and its transactions with OANDA are in compliance with all applicable laws and regulations;
(c) No governmental consents or approvals are required for the operation of its business, if any, or its transactions with OANDA or, if any such consents or approvals are required, all such consents and approvals have been obtained; and
(d) It is sophisticated with respect to foreign exchange trading and is capable of making its own trading decisions.
Licensee Warranties. Licensee represents, warrants and covenants that the Property will be presented in its entirety as it appears in published form authorized by the Author(s) and that the Author(s)’s intent will be respected in the Licensee’s production. No changes, interpolations, additions, or deletions will be made in the Property for the purpose of Licensee’s production or otherwise. Licensee represents, warrants and covenants that Licensees shall comply with the following:
Licensee Warranties. Licensee warrants that (i) it has the authority to enter into this Agreement and to comply with its obligations hereunder and (ii) it shall at all times fully comply with all laws and regulations applicable with respect to any use of the Products and Professional Services.
Licensee Warranties. Notwithstanding Section 10.1, Licensee warrants that: they have authority to enter into this Agreement; the signatory has the authority to sign on behalf of Licensee; as of the Effective Date and to the best of its knowledge, Licensee is not debarred or suspended by any agency of the U.S. government; and they will not use or manufacture a technology in the performance of this Agreement that infringes or otherwise adversely impacts any third-party intellectual property rights.
Licensee Warranties. The Licensee represents and warrants that:
Licensee Warranties. LICENSEE hereby represents and warrants to Licensor that:
(a) Authority - LICENSEE is a legally existing entity with the authority to enter into this Agreement.
(b) Compliance with Law - LICENSEE warrants that it has complied and will comply fully with all applicable laws, regulations, statutes, and ordinances.
Licensee Warranties. Licensee warrants that Licensee’s receipt and use of the Licensed Material will be in compliance with all applicable laws, rules and regulations.
Licensee Warranties. 8.1 The Licensee warrants that:
(a) all information given to the Representative to assess their acceptance of the Appointment was true and correct and was not misleading or deceptive;
(b) it will perform and comply with all duties and obligations hereunder honestly, fairly and efficiently;
(c) it will not without reasonable cause fail to renew as and when appropriate or take any action to cancel the Authority. Without limiting the termination provisions of clause 14, reasonable cause for these purposes includes any breach by the Representative of any term or provision of this agreement which could call for review or reasonably could jeopardise the AFSL of the Licensee, or the reputation or goodwill of the Licensee, its representatives, Authorised Representatives or authority holders.
8.2 The Licensee makes no warranty as to the term of the Appointment, nor the term of nor any conditions applicable to the employment of the Representative by the Employer.
Licensee Warranties. Licensee warrants that it will use its best commercial efforts to market the Licensed Products and that their sale and marketing shall be in conformance with all applicable laws and regulations, including but not limited to all intellectual property laws.
Licensee Warranties. The Licensee warrants that it:
(a) holds an AFSL; and
(b) has power to enter into this agreement and to perform fully its obligations and duties under this agreement.
