Common use of Licenses and Compliance with Law Clause in Contracts

Licenses and Compliance with Law. (a) The Company and its Subsidiaries hold and are in material compliance with, all material Permits required by them in connection with the conduct of their business and the ownership, use and operation of their property. Except as set forth on Schedule 5.14 hereto, all of such Permits are in full force and effect and will continue to be in full force and effect in all respects pursuant to their respective terms for six months after the Closing. (b) To the Knowledge of the Company and except as set forth on Schedule 5.14, the Company and its Subsidiaries have complied and are currently in compliance, in all material respects, with all applicable laws (including rules, regulations, ordinances, codes, plans, injunctions, judgments, orders, decrees, rulings, and changes thereunder) of federal, state, local and foreign governments (and all agencies and instrumentalities thereof), that may reasonably be anticipated to assert or claim jurisdiction over them or over any part of their operations, and no Proceedings or notices have been filed or commenced against the Company or any of its Subsidiaries alleging any failure to comply.
