Licenses and Regulations a. The Design-Builder will include in the bid for the Project, obtain, and pay for all licenses and certificates of inspection required or necessary for the execution and completion of the Work.
b. The Design-Builder must give all notices and comply with all laws, ordinances, codes, rules and regulations bearing on the conduct of the Work. If the Design-Builder observes that the Drawings and specifications are at variance therewith, prompt notification in writing must be given to the Commission Representative, and any necessary changes must be made in accordance with Article 17 “Changes in the Work.” If the Design-Builder fails to provide such notice, or otherwise performs the Work contrary to pertinent law, ordinances, codes, rules or regulations, the Design-Builder will bear all costs arising from any Work performed that is contrary to such laws, ordinances, codes, rules, and regulations.
c. The Design-Builder must also comply with the current regulations of the National Board of Fire Underwriters where applicable, and all other codes named in the specifications for the various divisions of the Work.
d. Regulations applicable to this Project include, but are not limited to the most current editions of, the following:
(1) City of Chicago Building Codes
(2) NEC
(3) NFPA
(4) Illinois Plumbing Code
(5) Illinois Accessibility Standards
(6) Americans with Disabilities Act Guidelines (ADAG)
(7) ASHRAE/IES, Standard Efficiency Guidelines
e. Where requirements of the applicable building codes differ, the Authorized Commission Representative shall determine which requirement shall govern and the Design-Builder shall comply with the governing requirement. If the Design-Builder believes it is entitled to additional compensation it must follow the requirements set out in Article 18 “Claims and Disputes” of Book 2.
f. Submit copies of all permits, licenses, and similar permissions obtained, and receipts for fees paid, to the Commission Representative.
g. It shall be the responsibility of the Design-Builder to coordinate, procure and pay for all ties necessary for the completion and operation of the fire alarm system. Design-Builder shall arrange and pay for all fees as required by the City of Chicago Bureau of Electricity.

In the performance of this Agreement both parties agree that they shall comply and shall cause their personnel to comply with all local laws and regulations, which affect the undertakings to be executed by the parties under this Agreement. Both parties shall have all relevant permits and licenses in place necessary for the proper execution of the Agreement.

Seller is in compliance with all federal, state and local laws and regulations respecting employment and employment practices, the Premises and the operation of the Business, to its knowledge. Seller has not received any notice of violation of any applicable zoning regulation, ordinance, regulation or requirement relating to its operations or
Licenses and Regulations. 5.1 NECVT shall obtain and maintain in full force and effect any necessary licenses and consents required in connection with the manufacture of Products and Parts and shall comply with all laws and regulations governing its activity as a manufacturer and/or distributor of Products and Parts.
5.2 Save as otherwise provided in Clause 5.1, STRONG W shall obtain and maintain in full force and effect any necessary licenses and consents required to carry on business as a distributor of Products, and shall comply with all laws and regulations applicable in the Territory in which its promotion, marketing and sales activities are conducted, governing its activity as a distributor of Products.

All governmental licenses, approvals, zoning authorizations, registrations and permits, environmental or otherwise, required in order for each of the Company and Ro-Tech to transact its business in all material respects have been obtained. Each of the Company and Ro-Tech has complied with all rules, laws, regulations and orders applicable to its business, employees and products, and knows of no notice or claim of violation by the Company or Ro-Tech of any applicable federal, state or local law, ordinance or regulation or judgment, order, decree or citation of any individual or administrative authority, including but not limited to importing, zoning, pollution, environmental or safety laws or regulations or laws or regulations relating to illegal payments.
Licenses and Regulations. All licenses required in the present ------------------------ operation of the Business are current and valid. Seller is in compliance with all federal, state and local laws and regulations respecting employment and employment practices, the Premises and the operation of the Business. Seller has not received any notice of violation of any applicable zoning regulation, ordinance, regulation or requirement relating to its operations or properties, whether owned or leased, and there is no such violation or grounds therefor which could adversely affect the operation of the Business.
Licenses and Regulations. All material governmental or agency or commission licenses, approvals, registrations and permits required in order for Seller to sell the Branded Products in the states identified pursuant to Section 4.14 below are listed in Disclosure Schedule 4.11. Seller has complied in all material respects with all rules, laws, regulations and orders which relate to the production or sale of the Branded Products, and knows of no notice or claim of violation by Seller of any applicable federal, state or local law, ordinance or regulation or judgment, order, decree or citation of any individual or administrative authority, including but not limited to safety laws or regulations, or laws or regulations relating to illegal payments, kickbacks or commercial bribery that could affect future production by Seller of the Branded Products under the Production and Supply Agreement.
Licenses and Regulations. Cray shall obtain and maintain in full force and effect all licenses and consents required to carry on business as a distributor of the Products hereunder, and shall in all material respects comply with any and all applicable laws, regulations and orders of governmental authorities and agencies in performing its obligations hereunder.
Licenses and Regulations. Except for violations that in the aggregate would not have a Material Adverse Effect, to Seller’s knowledge, all licenses required for operation and/or use of the Acquired Assets in connection with the WyldFyre Business are current and valid. Except for violations that in the aggregate would not be reasonably likely to have a Material Adverse Effect, to Seller’s knowledge, Seller is in compliance with all federal, state and local laws and regulations in respect of the operation and/or use of the Acquired Assets in connection with the WyldFyre Business.
