Licensing Commitment. Licensee shall license from Licensor hereunder the following number of VOD Included Programs during each VOD Avail Year of the VOD Avail Term: (a) with respect to each of the US VOD Service and the Canadian VOD Service, all Current Features with a VOD Availability Date during the VOD Avail Term; (b) with respect to the US VOD Service, at least 75 Library Features and (c) with respect to the Canadian VOD Service, at least 75 Library Features. Licensor shall provide Licensee with periodic availability lists setting forth the Current Features and Library Features available for licensing on the US VOD Service and the Canadian VOD Service hereunder along with their respective VOD Availability Dates.
Licensing Commitment. Each Licensee shall offer to each DECE Licensee and its Controlled Affiliates, under reasonable terms and conditions that are free of discrimination, a nonexclusive, worldwide, nontransferable license under Licensee Necessary Claims, to make, have made, sell, offer to sell, use (including, for avoidance for doubt, lease) and import those portions of products and services that implement the Mandatory Portions of the Specification; provided however, that the foregoing obligation under this Section shall not apply in favor of any DECE Licensee if that DECE Licensee files a lawsuit asserting infringement of a Necessary Claim against a Licensee for the making, having made, selling, offering to sell, using (including, for avoidance for doubt, leasing) or importing Mandatory Portions of the Specifications pursuant to and in accordance with this Agreement without first offering to grant Licensee a license to such Necessary Claims on reasonable terms and conditions that are free of discrimination. For the avoidance of doubt, and without limiting the interpretation of “reasonable terms and conditions” in other circumstances, the obligations imposed on Licensee Entities under this Section 3 are not intended to prevent any Licensee from recouping amounts it would be obligated to pay a third party (other than an employee of a Licensee) upon such Licensee granting a license pursuant to this Section 3.1 to a Necessary Claim.
Licensing Commitment. Included Program Commitment. Licensee shall license from Licensor hereunder all Included Programs.
Licensing Commitment. Licensee shall license from Licensor all Included Programs. “Included Programs” are: (a) all Current Features with an Availability Date during the Avail Term, (b) during each Avail Year, no fewer than [___] Library Features, and (c) during each Avail Year, no fewer than [___] Television Episodes. 34 Licensor shall provide Licensee with periodic availability lists setting forth each Current Feature to be licensed hereunder along with its Availability Date. 35 Within a commercially reasonable time frame following the execution of the Agreement with respect to Avail Year 1 and by no later than [__] days prior to the beginning of each subsequent Avail Year, Licensor shall provide Licensee with an availability list from which Licensee shall select the Library Features and Television Episodes to be licensed for such Avail Year in accordance with this Section 4.1. If Licensee fails to select the Library Features or Television Episodes required to be licensed under this Section 4.1 within 30 days after receipt of such availability list, Licensor shall have the right to designate such Library Features or Television Episodes.
Licensing Commitment. Licensee shall distribute on the terms and conditions set forth herein each DHE Included Program made available by Licensor during the DHE Term commencing on such program’s DHE Availability Date; provided that Licensee shall have the right to withhold or discontinue the availability of any DHE Included Program for which the DHE Authorized Version differs from the version made available to one or more Other Distributors.
Licensing Commitment. Each Participant in the Working Group agrees that each such Participant will offer to all applicants a nonexclusive, worldwide, non-sublicensable patent license to each such Participant’s Necessary Claims, respectively, on fair, reasonable, and non- discriminatory terms to make, have made, use, import, offer to sell, sell, and distribute Covered Implementations of any Final Specification adopted by such Working Group.
Licensing Commitment. Licensor shall launch two (2) Branded Channels on the FVOD Service consisting of FVOD Included Programs; provided that the parties may mutually agree to include more than two (2) Branded Channels on the FVOD Service. If Licensor elects to make FVOD Included Programs available as part of a Branded Channel, Licensee shall license from Licensor all FVOD Included Programs made available by Licensor as part of such Branded Channel(s). Licensor shall designate FVOD Included Programs as available for inclusion in a particular Branded Channel, and if so categorized by Licensor then Licensee shall make such FVOD Included Program available as part of its corresponding Branded Channel.
Licensing Commitment. 4.1 The following shall be added as Section 3.1.1.1 of the DHE General Terms: “3.1.1.1

Licensor shall make available to Licensee as DHE Included Programs hereunder certain Feature Films and Television Episodes during the DHE Term for distribution on a DHE basis hereunder, which Feature Films and Television Episodes and their respective resolutions (i.e., SD or HD) shall be determined by Licensor in its sole discretion; provided, however, that, subject to Section 6.1 of the DHE Terms, Licensor agrees to make available to Licensee for distribution on a DHE basis hereunder (a) in Standard Definition all Feature Films that have a Home Video Street Date during the DHE Term and, if such Feature Film was initially theatrically released in the Territory, has a DHE Availability Date no more than 12 months after its initial theatrical release in the Territory or, in the case of Sony Pictures Classics releases, no more than 14 months after its initial theatrical release in the Territory (“SD Required Film”), and (b) in High Definition all Feature Films that have a Blu-ray disc Home Video Street Date during the DHE Term and, if such Feature Film was initially theatrically released in the Territory, has a DHE Availability Date no more than 12 months after its initial theatrical release in the Territory or, in the case of Sony Pictures Classics releases, no more than 14 months after its initial theatrical release in the Territory (“HD Required Film”). Licensee shall license from Licensor as DHE Included Programs all Feature Films and Television Episodes made available by Licensor during the DHE Term hereunder commencing on such DHE Included Program’s DHE Availability Date.
Licensing Commitment. 5.1. Comcast shall license from Studio, and Studio shall license to Comcast, all New Releases as with an Availability Date during the AvailNew Releases. Studio shall make available to Comcast for distribution on a DHE basis each New Release (individually or as part of a bundle) that Studio makes available to any other DHE distributor in the Territory during the Term.
