Licensing Commitment. Licensee shall license from Licensor hereunder the following number of VOD Included Programs during each VOD Avail Year of the VOD Avail Term: (a) with respect to each of the US VOD Service and the Canadian VOD Service, all Current Features with a VOD Availability Date during the VOD Avail Term; (b) with respect to the US VOD Service, at least 75 Library Features and (c) with respect to the Canadian VOD Service, at least 75 Library Features. Licensor shall provide Licensee with periodic availability lists setting forth the Current Features and Library Features available for licensing on the US VOD Service and the Canadian VOD Service hereunder along with their respective VOD Availability Dates.

Licensing Commitment. Licensee shall distribute on the terms and conditions set forth herein each DHE Included Program made available by Licensor during the DHE Term commencing on such program’s DHE Availability Date; provided that Licensee shall have the right to withhold or discontinue the availability of any DHE Included Program for which the DHE Authorized Version differs from the version made available to one or more Other Distributors.

Licensing Commitment. Each Licensee shall offer to each DECE Licensee and its Controlled Affiliates, under reasonable terms and conditions that are free of discrimination, a nonexclusive, worldwide, nontransferable license under Licensee Necessary Claims, to make, have made, sell, offer to sell, use (including, for avoidance for doubt, lease) and import those portions of products and services that implement the Mandatory Portions of the Specification; provided however, that the foregoing obligation under this Section shall not apply in favor of any DECE Licensee if that DECE Licensee files a lawsuit asserting infringement of a Necessary Claim against a Licensee for the making, having made, selling, offering to sell, using (including, for avoidance for doubt, leasing) or importing Mandatory Portions of the Specifications pursuant to and in accordance with this Agreement without first offering to grant Licensee a license to such Necessary Claims on reasonable terms and conditions that are free of discrimination. For the avoidance of doubt, and without limiting the interpretation of “reasonable terms and conditions” in other circumstances, the obligations imposed on Licensee Entities under this Section 3 are not intended to prevent any Licensee from recouping amounts it would be obligated to pay a third party (other than an employee of a Licensee) upon such Licensee granting a license pursuant to this Section 3.1 to a Necessary Claim.
Licensing Commitment. For materials other than source code or datasets developed by the Working Group, each Working Group Participant agrees that it will offer to all applicants a royalty free, nonexclusive, worldwide, non-sub licensable, perpetual patent license to its Necessary Claims on fair, reasonable, and non-discriminatory terms to make, have made, use, import, offer to sell, sell, and distribute conformant implementations of any Approved Deliverable adopted by that Working Group only to the extent it implements the Approved Deliverable and so long as all required portions of the Approved Deliverable are implemented. Source code developed by the Working Group is subject to the license set forth in the Working Group charter.

If Licensee fails to select the Library Features or Television Episodes required to be licensed under this Section 4.1 within 30 days after receipt of such availability list, Licensor shall have the right to designate such Library Features or Television Episodes.
