Licensor Approval. Distributor will accord Licensor prior reasonable approval of all advertising, packaging and artwork, and the advertising and marketing campaign for exploitation of the Video Licensed Rights in the Picture. In addition, Distributor at its cost will provide Licensor for its reasonable approval one (1) prototype copy of each authorized type of Videogram and its packaging promptly after their manufacture and before their sale or disposition. Licensor’s approval will be deemed given if Licensor does not give Distributor Notice of an objection within one (1) month of receipt of these items.

Licensor Approval. All Licensed Products developed, manufactured and sold hereunder, and all labels, hang tags, packaging, catalogs, brochures, publications, printed matter, advertising, signs, promotional displays, websites, webpages, video and sound recordings, online social media pages and other forms of publicity material for the Licensed Products, shall be in English and subject to Licensor’s written approval in advance of use, distribution, marketing or sale.

Licensor Approval. Other than the existing AeroGarden Products, the Licensee shall not sell any Licensed Products until the Licensor, in its reasonable judgment, finds that such products in mass production quantities are satisfactory to the Licensor. The license to the Licensee granted by this Agreement to distribute the Licensed Products under the Licensed Trademarks is expressly contingent upon such final written approval by the Licensor. Other than the existing AeroGarden Products for the initial Contract Year, by no later than sixty (60) days prior to distribution and sale of each Licensed Product, the Licensee shall provide the Licensor for its prior written approval (a) a list of each of the Licensed Products, including SKU numbers, proposed MSRP (manufacturer suggested retail price) and product specifications, as well as product samples for each; and (b) the distribution and marketing plans for the Licensed Products, including proposed distribution channels, marketing and advertising spend, marketing and advertising channels and media plan, and related information.
Licensor Approval. Provided that Seller shall have paid all amounts due to Licensor that are accrued and unpaid under the License Agreement as of the Closing Date, Licensor shall be prepared to execute and deliver a new license agreement with Purchaser consistent with the Licensor Approval obtained during the Study Period. If Purchaser did not obtain Licensor Approval prior to the expiration of the Study Period, this condition shall not be applicable to Purchaser.
Licensor Approval. In all circumstances where any furniture, fixtures, equipment, and/or personal property might reasonably be anticipated to affect the physical condition or operation of the Arena, Licensor shall have the reasonable right to determine the type and weight of any such furniture, fixtures, equipment, and/or personal property of every type brought into the Arena by Licensee; provided, however, these prerogatives of Licensor shall be exercised by Licensor in a good faith manner which does not unreasonably interfere with usage of the Licensed Premises by Licensee for the purposes herein provided, but in accordance with the design criteria of the Arena and, where applicable, the standards of other reasonable prudent operators of arenas which are comparable with the Arena.
Licensor Approval. Licensor will provide finished artwork. Licensee will have the right to edit or change artwork per Licensor’s approval of any and all changes. Licensor will have approval, which shall not be unreasonably withheld, over any packaging for the Video and related artwork prior to any distribution, sale or publication thereof by PEC hereunder. Any packaging and/or related artwork submitted to Licensor by PEC and not approved or disapproved within five (5) days after receipt by Licensor shall be deemed approved.

Licensor Approval. All Licensed Products developed, manufactured and sold hereunder, and all labels, hang tags, packaging, catalogs, brochures, publications, printed matter, advertising, signs, promotional displays, websites, webpages, video and sound recordings, online social media pages and other forms of publicity material for the Licensed Products, shall be in English and subject to Licensor’s written approval in advance of use, distribution, marketing or sale; provided, however, all such materials may also be translated to such foreign languages as may be necessary for reasonable marketing purposes and to conform with applicable law.
Licensor Approval. (a) Licensor Approval Required. Other than as provided in Section 4.4, all Sublicensing Arrangements will require the prior approval of Licensor (which approval shall not be unreasonably withheld, conditioned or delayed). Licensor may not condition its approval of any proposed Sublicensing Arrangement on the payment to Univision Group of any monetary or other consideration or on any changes to the then-existing arrangements between Licensee and Univision Group (including under this Agreement). However, in determining whether to provide such approval, the Licensor may take into account the terms and circumstances of the proposed Sublicensing Arrangement, including the financial terms and conditions of the proposed Sublicensing Arrangement, commercial terms of the proposed Sublicensing Arrangement as compared to industry standards at such time, the scope and extent of the rights to be granted under the proposed Sublicensing Arrangement, and the identity of the proposed counterparty (together with the overall economic benefit of the Sublicensing Arrangement to Licensee). It shall be deemed to be unreasonable for Licensor to withhold any approval required under this Section 4.2(a) of any proposed Sublicensing Arrangement on the basis of the identity of the proposed counterparty or the proposed terms if Univision Group has previously entered into a contractual arrangement (which is then in effect) with such proposed counterparty for the Broadcast of Excluded Content in the Territory or the Broadcast of Audiovisual Content in Mexico (unless such arrangement is required by applicable Law), in each case, on terms consistent therewith. ***** CONFIDENTIAL TREATMENT: UNIVISION HOLDINGS, INC.
