Limit on Deposits to the Principal. Funding Sub-Account of Subordinated Classes of SynchronySeries Notes; Limit on Repayments of all Tranches. (a) Limit on Deposits to the Principal Funding Sub-Account of Subordinated Classes of SynchronySeries Notes. (i) No SynchronySeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of any Tranche of Class B Notes unless, following such deposit, the sum of the Nominal Liquidation Amounts of the Class B Notes, the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount. (ii) No SynchronySeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of any Tranche of Class C Notes unless, following such deposit, (A) the sum of the Nominal Liquidation Amounts of the Class B Notes, the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount, and (B) the sum of the Nominal Liquidation Amounts of the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class B Required Subordinated Amount. (iii) No SynchronySeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of any Tranche of Class D Notes unless, following such deposit, (A) the sum of the Nominal Liquidation Amounts of the Class B Notes, the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount, (B) the sum of the Nominal Liquidation Amounts of the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class B Required Subordinated Amount and (C) the sum of the Nominal Liquidation Amount of the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class C Required Subordinated Amount. (iv) Notwithstanding anything in the Indenture or this Indenture Supplement to the contrary, SynchronySeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of a Subordinated Class of SynchronySeries Notes, if and only to the extent that the Prefunding Target Amount for each Senior Class of SynchronySeries Notes is zero or the Prefunding Target Amount has been funded to the extent necessary for such Transfer Date.

(ii) No SynchronySeries BAseries Available Principal Collections Amounts will be deposited in the Principal Funding Subsub-Account of any Tranche tranche of Class C Notes unless, following such deposit, (A) the sum available subordinated amount of the Nominal Liquidation Amounts of Class C Notes is at least equal to the Class B Notes, the Unused Subordinated Amount of Class C Notes and the for all Outstanding Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount, B Notes and (B) the sum available subordinated amount of Class C Notes is at least equal to the Class A Unused Subordinated Amount of Class C Notes for all Outstanding A Notes. (iii) No SynchronySeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of any Tranche of Class D Notes unless, following such deposit, (A) the sum of the Nominal Liquidation Amounts of the Class B Notes, the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount, (B) the sum of the Nominal Liquidation Amounts of the Class C Notes and the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class B Required Subordinated Amount and (C) the sum of the Nominal Liquidation Amount of the Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class C Required Subordinated Amount. (iv) Notwithstanding anything in the Indenture or this Indenture Supplement to the contrary, SynchronySeries BAseries Available Principal Collections Amounts will be deposited in the Principal Funding Subsub-Account of a Subordinated Class of SynchronySeries NotesNote, if and only to the extent that (i) such deposit is not contrary to clause (a)(i) or (a)(ii) above and (ii) the Prefunding Target Amount for each Senior Class senior class of SynchronySeries Notes is zero or the Prefunding Target Amount has been funded to the extent necessary for such Transfer Datezero.

(ii) No SynchronySeries WachoviaSeries Available Principal Collections will be deposited in the Principal Funding Sub-Account of any Tranche of Class C Notes unless, following such deposit, (A) the sum available subordinated amount of the Nominal Liquidation Amounts of Class C Notes is at least equal to the Class B Notes, the Unused Subordinated Amount of Class C Notes and the for all Outstanding Class D Notes, plus the SynchronySeries Subordinated Transferor Amount is not less than the Class A Required Subordinated Amount, B Notes and (B) the sum available subordinated amount of the Nominal Liquidation Amounts of the Class C Notes and is at least equal to the Class D Notes, plus the SynchronySeries A Unused Subordinated Transferor Amount is not less than the Class B Required Subordinated Amount.
