Common use of Limits on Dissenting Shares Clause in Contracts

Limits on Dissenting Shares. No more than two percent (2%) of the outstanding shares of Charts Common Stock taken together will (a) not have affirmatively voted in favor of the Merger and the Agreement and (b) accordingly be eligible to exercise or perfect any statutory appraisal rights of dissenting shareholders under applicable law.

Limits on Dissenting Shares.
