The Loan Party Information clause requires the parties involved in a loan agreement to provide and maintain accurate and up-to-date information about themselves. Loan Party Information. If:
(a) any Change in Law;
(b) any change in the status of any Loan Party after the date of this Agreement; or
(c) a proposed assignment or transfer by a Lender of any of its rights and obligations under this Agreement to a party that is not a Lender prior to such assignment or transfer; requires any Funding Agent or any Lender (or, in the case of paragraph (c) above, any prospective new Lender) to comply with “know your customer” or similar identification procedures in circumstances where the necessary information is not already available to it, each Loan Party under the applicable Tranche shall promptly upon the request of the Funding Agent under such Tranche or any Lender under such Tranche supply, or procure the supply of, such documentation and other evidence as is reasonably requested by such Funding Agent (for itself or on behalf of any Lender under the applicable Tranche) or such Lender (for itself or, in the case of the event described in paragraph (c) above, on behalf of any prospective new Lender under the applicable Tranche) in order for such Funding Agent, such Lender or, in the case of the event described in paragraph (c) above, such prospective new Lender to carry out and be satisfied it has complied with all necessary “know your customer” or other similar checks under all applicable Laws pursuant to the transactions contemplated in the Loan Documents.

No Loan Party shall change its name, jurisdiction of formation or registration, chief or registered executive office and/or principal place of business without the prior written consent of the Administrative Agent and the Required Lenders (such consent not to be unreasonably withheld, conditioned or delayed).

On the date hereof, Schedule 9.29 sets forth (a) each Loan Party’s jurisdiction of organization, (b) the location of each Loan Party’s chief executive office, (c) each Loan Party’s exact legal name as it appears on its organizational documents and (d) each Loan Party’s organizational identification number (to the extent a Loan Party is organized in a jurisdiction which assigns such numbers) and federal employer identification number.

In the past five years, no Loan Party had its chief executive offices at any location, or has had any other name, other than as set forth in the Loan Party Schedules.

On the date hereof, Schedule 9.29 sets forth (a) each Loan Party’s jurisdiction of organization, (b) the location of each Loan Party’s registered office, chief executive office or principal place of business and any other location where any Canadian Loan party owns, possesses or stores a material portion of its tangible personal property, (c) each Loan Party’s exact legal name as it appears on its organizational documents and (d) each Loan Party’s organizational identification number, incorporation number or similar business incorporation number (to the extent a Loan Party is organized in a jurisdiction which assigns such numbers) and federal employer identification number.

No Loan Party shall, (a) without at least fifteen (15) Business Days’ prior written notice to the Administrative Agent (or such shorter period as the Administrative Agent and Required Lenders may agree in their sole but reasonable discretion) change its name, jurisdiction of formation or (b) without at least five (5) Business Days’ written notice to the Administrative Agent (or such shorter period as the Administrative Agent may agree in its sole but reasonable discretion), change its chief or executive office and/or principal place of business.

Set forth on Schedule 4.13–A hereto is a list of the chief executive office or principal place of business address, U.S. taxpayer identification number, and organizational identification number (if applicable) of each Loan Party as of the Closing Date.
