Common use of LOCAL LAWS AND REGULATIONS Clause in Contracts

LOCAL LAWS AND REGULATIONS. MERCK shall notify BIOSITE of the existence and content of any mandatory provision of law in each country in the TERRITORY or any other applicable law that conflicts with any provision of this AGREEMENT at the time of its execution or thereafter. MERCK agrees to advise BIOSITE fully with respect to all regulations, labeling laws, standards, specifications and other requirements imposed by law, regulation or order in any country in the TERRITORY and applicable to the PRODUCTS. MERCK agrees to promptly inform BIOSITE should, in its opinion, any amendment or additional agreement be required or be advisable in order to comply with the laws of any country in the TERRITORY, or any subdivision thereof.
